# **WARRANT "SOLIDWORLD 2022-2025" APERTURA DEL TERZO E ULTIMO PERIODO DI ESERCIZIO 17 – 31 LUGLIO 2025**

*Treviso, 11 luglio 2025* **–** *SolidWorld Group S.p.A***.,** società quotata sul mercato **Euronext Growth Milan (ticker: S3D),** è un gruppo tecnologico italiano leader nell'integrazione di soluzioni digitali 3D avanzate con AI per i settori **industriale, biomedicale e difesa,**  comunica che i portatori dei warrant "SolidWorld 2022-2025" (i "**Warrant**"), codice ISIN IT0005498420, potranno esercitare i propri diritti a decorrere dal 17 luglio 2025 fino al 31 luglio 2025, inclusi (il "**Terzo Periodo di Esercizio**").

Durante questo periodo, i titolari dei Warrant potranno sottoscrivere le azioni ordinarie SolidWorld, al prezzo di esercizio pari a Euro 2,398 per azione, nel rapporto di 1,1 azioni di compendio ogni 2 warrant presentati per l'esercizio.

Le richieste di sottoscrizione dovranno essere presentate in qualsiasi giorno lavorativo bancario durante il Terzo Periodo di Esercizio presso l'intermediario aderente a Monte Titoli S.p.A. presso cui sono depositati i Warrant.

Il diritto di sottoscrizione dovrà essere esercitato, a pena di decadenza, entro il 31 luglio 2025 ("**Termine Ultimo per l'Esercizio**").

Si precisa che, trattandosi dell'ultimo periodo di esercizio previsto dal Regolamento "Warrant SolidWorld 2022-2025", i Warrant non esercitati entro tale termine decadranno da ogni diritto, diventando definitivamente privi di effetto.

Le azioni di compendio sottoscritte saranno rese disponibili per la negoziazione, tramite Monte Titoli S.p.A., a partire dal giorno di liquidazione successivo alla data di scadenza del Terzo Periodo di Esercizio.

# **WARRANTS 'SOLIDWORLD 2022-2025' OPENING OF THE THIRD AND FINAL EXERCISE PERIOD 17 - 31 JULY 2025**

*Treviso, July 11, 2025* – **SolidWorld Group S.p.A**., listed on **Euronext Growth Milan (ticker: S3D)**, is an **Italian technology group,** leader in the integration of advanced 3D digital solutions and artificial intelligence, for **the industrial, biomedical and defense sectors**, announces that holders of 'SolidWorld 2022-2025' warrants (the "**Warrants**"), ISIN code IT0005498420, may exercise their rights from 17 July 2025 until 31 July 2025, inclusive (the **'Third Exercise Period'**).

During this period, Warrant holders may subscribe to SolidWorld ordinary shares at an exercise price of EUR 2.398 per share, at a ratio of 1.1 shares for every 2 warrants submitted for exercise.

Subscription requests must be submitted on any bank business day during the Third Exercise Period to the intermediary belonging to Monte Titoli S.p.A. with which the warrants are deposited.

The subscription right must be exercised, under penalty of forfeiture, by 31 July 2025 ('**Exercise Deadline'**).

Please note that, as this is the last exercise period provided for by the 'SolidWorld Warrant 2022-2025' Regulation, Warrants not exercised by this deadline will be cancelled, becoming definitively ineffective.

The subscribed compendium shares will be made available for trading, through Monte Titoli S.p.A., starting from the settlement day following the expiry date of the Third Exercise Period.
