Start of activities for access to the negotiated settlement of the crisis

Cavriago (RE), 9 July 2025 - The Board of Directors of Landi Renzo S.p.A. ("Landi Renzo" or the "Company"), which met today, resolved to proceed with the filing of the application for access to the negotiated settlement of the crisis (the "CNC"), requesting the appointment of an independent expert pursuant to Articles 12 et seq. of Legislative Decree no. 14 of 12 January 2019 as subsequently amended and supplemented (the "CCII"), in order to overcome the situation of temporary and transitory financial tension that the Company is currently going through by means of an orderly negotiation of the Company's bank and financial debt, with the aim of guaranteeing business continuity and pursuing a profitable business management.

In particular, the decision regarding the initiation of the CNC was carefully assessed as the most suitable option to ensure the Company's stability for the period necessary to implement the actions aimed at the Company's financial rebalancing, as well as to preserve the Company's value to the benefit of all stakeholders and, at the same time, the most appropriate also in light of the communication to the market dated 26 June 2025 with particular reference, inter alia, to the impossibility of punctually fulfilling the contractual commitments related to certain medium-long term financing contracts of the Group and, therefore, of the need to initiate discussions with the banks in the context of possible extraordinary transactions aimed at supporting the future development of the Group's activities as well as a rationalisation of the Group's costs.
