Registration of amendments to the Articles of Association - Cancellation of part of the shares.
The Management Board of INVESTMENT FRIENDS CAPITAL SE, with its registered office in Tallinn, hereby announces that on 8/07/2025 the Commercial Companies Register (Ariregister) appropriate to Estonian law registered amendments to the Company's Articles of Association resulting from the resolutions adopted at the Annual General Meeting of Shareholders on 31/03/2025.
Therefore, the current wording of sections 2.1 and 2.4 of the Company's Articles of Association is as follows:
"2.1. The minimum amount of share capital of the Company is 300 000 (three hundred thousand) euros and the maximum amount of share capital is 1 200 000 (one million two hundred thousand) euros"
"2.4. The minimum number of the shares of the Company without nominal value is 3 000 000 (three million) shares and the maximum number of the shares of the Company without nominal value is 12 000 000 (twelve million) shares."
The current share capital of Investment Friends Capital SE is EUR 300 000,00 and is divided into 3 000 000 shares.
