RESIGNATION OF PROF. MASSIMILIANO BRUNI FROM THE POSITION OF DIRECTOR

Pesaro, July 8, 2025

Biesse S.p.A. (the "Company") announces that Prof. Massimiliano Bruni, an independent non-executive director and member of the Control, Risks and Sustainability Committee, has resigned from his position as a member of the Company's Board of Directors (the "Position"), due to unforeseen personal reasons. The resignation from the Position will be effective as of today's date (the "Termination Date").

The Company announces that, in accordance with the Remuneration Policy, Prof. Massimiliano Bruni will be paid (i) the pro-rata portion of the fixed remuneration for members of the Board of Directors, as determined by the Board of Directors based on the total fees set by the Shareholders' Meeting of April 29, 2024, and (ii) the pro-rata portion of the additional remuneration due to directors who are members of the Control, Risks and Sustainability Committee, accrued up to the Termination Date. No severance pay or other benefits will be paid as a result of the termination of his office.

As of today's date, based on the communications made to the Company, Prof. Bruni does not hold shares in the Company.
