Avholdt 8. juli 2025 kl. 11.00. Generalforsamlingen ble avholdt i lokalene til Advokatfirmaet CLP DA, Sommerrogata 13-15, 0255 Oslo.

(the "**Company**")

Held 8 July 2025 at 11.00 CEST. The general meeting was held at the offices of Advokatfirmaet CLP DA, Sommerrogata 13-15, 0255 Oslo.

The following was at the agenda:

- *1 Opening of the meeting and recording of the participating and represented shareholders*
- *2 Election of chairman of the meeting and one person to co-sign the minutes*
- *3 Approval of summoning of the meeting and the agenda*
- *4 Proposal for amendment of the articles of association – company name*

# **1 ÅPNING AV GENERALFORSAMLINGEN OG OPPTAK AV FORTEGNELSE OVER MØTENDE AKSJEEIERE**

Generalforsamlingen ble åpnet av advokat Joakim Gjerde på vegne av styret.

Det ble foretatt opptak og fortegnelse over møtende aksjeeiere representert ved deltakelse eller fullmakt. Fortegnelsen er vedlagt denne protokollen som Vedlegg 1.

# **1 OPENING OF THE GENERAL MEETING AND RECORDING OF THE PARTICIPATING AND REPRESENTED SHAREHOLDERS**

The general meeting was opened by Joakim Gjerde, legal counsel for the Company, on behalf of the board of directors.

It was taken attendance of the shareholders present in person or by proxy. The list of voting shares present is enclosed to these minutes as Appendix 1.

# **2 VALG AV MØTELEDER OG ÉN PERSON TIL Å MEDUNDERTEGNE PROTOKOLLEN**

Joakim Gjerde ble valgt til møteleder. Eldar Paulsrud ble valgt til å medundertegne protokollen sammen med møteleder.

Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg 2 til denne protokollen.

# **3 GODKJENNELSE AV INNKALLING OG FORSLAG TIL DAGSORDEN**

Møteleder reiste spørsmål om det var bemerkninger til innkallingen eller agendaen.

Da det ikke fremkom noen innvendinger, ble innkallingen og dagsorden ansett som godkjent. Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg 2 til denne protokollen.

Møteleder erklærte deretter generalforsamlingen som lovlig satt.

# **2 ELECTION OF CHAIRMAN OF THE MEETING AND OF ONE PERSON TO CO-SIGN THE MINUTES**

Joakim Gjerde was elected to chair the general meeting. Eldar Paulsrud was elected to co-sign the minutes together with the chairman of the general meeting.

The resolution was passed with the required majority, cf. the result of said voting set out in Appendix 2 to the minutes.

# **3 APPROVAL OF THE SUMMONING OF THE MEETING AND THE AGENDA**

The chairman of the general meeting raised the question whether there were any objections to the notice or the agenda of the general meeting.

No such objections were made, and the notice and the agenda were approved. The resolution was passed with the required majority, cf. the result of said voting set out in Appendix 2 to the minutes.

The chairman of the general meeting thereafter declared that the general meeting had been lawfully convened.

### **6 FORSLAG OM KAPITALFORHØYELSE**

Møteleder redegjorde for styrets forslag.

Generalforsamlingen fattet deretter følgende vedtak i overenstemmelse med styrets forslag:

- (i) *Aksjekapitalen i Selskapet økes med NOK 5 428 500 ved utstedelse av 542 850 nye aksjer, hver pålydende NOK 10.*
- (ii) *Aksjene tegnes til en tegningskurs på NOK 27 per nye aksje. Minste tegnings- og tildelingsbeløp er et beløp i NOK tilsvarende EUR 100 000, dog slik at inntil 149 av Selskapets eksisterende aksjonærer eller andre investorer kan tegne seg for et beløp et beløp i NOK tilsvarende mindre enn EUR 100 000.*
- (iii) *De nye aksjene skal tegnes av Arctic Securities AS på vegne av og i henhold til fullmakt fra investorene og med de beløp som fremgår av en tildelingsliste godkjent av styret. Aksjonærenes fortrinnsrett etter aksjeloven § 10-4 fravikes således.*
- (iv) *Tegning av de nye aksjene skal skje på særskilt tegningsdokument innen utløpet av 9. juli 2025.*
- (v) *Tegningsbeløpet for de nye aksjene skal gjøres opp ved kontant betaling til en*

# **6 PROPOSAL FOR SHARE CAPITAL INCREASE**

The chairman of the meeting gave an account for the proposal from the board.

In accordance with the Board's proposal, the general meeting passed the following resolution:

- (i) *The share capital in the Company will be increased by NOK 5,428,500 by issuing 542,850 new shares, each with a nominal value of NOK 10.*
- (ii) *The shares are subscribed for at a subscription price of NOK 27 per new share. The minimum subscription and allotment amount is an amount in NOK corresponding to EUR 100,000, however, so that up to 149 of the Company's existing shareholders or other investors may subscribe for an amount in NOK corresponding to less than EUR 100,000.*
- (iii) *The new shares shall be subscribed for by Arctic Securities AS on behalf of and in accordance with the authorisation from the investors and with the amounts stated in an allocation list approved by the Board of Directors. The shareholders' preferential rights pursuant to section 10-4 of the Companies Act are thus waived.*
- (iv) *Subscription of the new shares shall be made on a separate subscription document*

- (vii) *Vedtektenes § 4 endres tilsvarende.*
- (viii) *De anslåtte utgiftene ved kapitalforhøyelsen utgjør ca. NOK 2 millioner.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg 2 til denne protokollen.

### **7 FORSLAG OM FULLMAKT TIL Å ØKE AKSJEKAPITALEN**

Møteleder redegjorde for styrets forslag.

Generalforsamlingen fattet deretter følgende vedtak i overenstemmelse med styrets forslag:

- (i) *Styrefullmakten til å øke aksjekapitalen tildelt 13. juni 2025 er fullt ut benyttet og skal derfor slettes i Foretaksregisteret.*
- (ii) *Styret gis fullmakt til å forhøye aksjekapitalen med opp til NOK 16 793 720 ved utstedelse av inntil 1 679 372 nye aksjer hver pålydende NOK 10. Fullmakten kan benyttes flere ganger innenfor denne rammen.*
- (iii) *Tegningskurs og øvrige vilkår besluttes av styret.*
- (iv) *Fullmakten omfatter kapitalforhøyelse ved innskudd i andre eiendeler enn penger eller rett til å pådra Selskapet særlige plikter og innskudd ved motregning, jf. aksjeloven §*

- (v) *The subscription amount for the new shares shall be settled by cash payment to a special issue account by 15 July 2025.*
- (vi) *The new shares will rank pari passu in all respects with the existing shares and confer full shareholder rights in the Company, including the right to dividends, from the time of registration of the capital increase in the Norwegian Register of Business Enterprises.*
- (vii) *Article 4 of the Articles of Association is amended accordingly.*
- (viii) *The estimated costs of the capital increase amount to approximately NOK 2 million.*

The resolution was passed with the required majority, cf. the result of said voting set out in Appendix 2 to the minutes.

### **7 PROPOSAL FOR AUTHORIZATION TO INCREASE THE SHARE CAPITAL**

The chairman of the meeting gave an account for the proposal from the board.

In accordance with the Board's proposal, the general meeting passed the following resolution:

- (i) *The Board authorization to increase the share capital granted on 13 June 2025 has been fully utilized and shall therefore be stricken from the Norwegian Register of Businesss Enterprises.*
- (ii) *The Board of Directors is given the authority to increase the share capital with up to NOK 16,793,720 through the issuance of up to 1,679,372 new shares, each with a par value of NOK 10. Within this limit, the authorization may be used several times.*
- (iii) *The subscription price and other subscription terms shall be determined by the Board of Directors.*
- (iv) *The authorization shall include capital increases against contribution in kind or*

*10-14 (2) nr. 4.*

- (v) *Styret kan fravike fortrinnsretten, jf. aksjeloven § 10-4.*
- (vi) *Fullmakten omfatter beslutning om fusjon, jf. aksjeloven § 13-5.*
- (vii) *Styret gis fullmakt til å endre vedtektenes angivelse av aksjekapitalens størrelse i samsvar med de kapitalforhøyelser styret beslutter under denne fullmakten.*
- (viii) *Fullmakten gjelder i to år fra datoen for denne generalforsamlingen.*

- (v) *The Board of Directors may deviate from the existing shareholders preferential rights to subscribe for shares pursuant to the Norwegian Private Limited Liability Company Act section 10-4.*
- (vi) *The authorization includes authorization to resolve mergers, cf. the Norwegian Private Limited Liability Companies Act section 13- 5.*
- (vii) *The Board of Directors is given authorization to change the articles of association regarding the size of share capital in accordance with such share capital increases as decided by the board of directors under this authorization.*
- (viii) *This authorization is valid for two years following the date of this general meeting.*

### **8 FORSLAG OM FULLMAKT TIL KJØP AV EGNE AKSJER**

Møteleder redegjorde for styrets forslag.

Generalforsamlingen fattet deretter følgende vedtak i overenstemmelse med styrets forslag:

- (i) *Styrefullmakten til å erverve egne aksjer tildelt 13. juni 2025 kanselleres.*
- (ii) *Styret kan erverve egne aksjer i Selskapet, ved en eller flere anledninger, med en samlet pålydende verdi på inntil NOK 3 358 740. Fullmakten omfatter også avtalepant i Selskapets aksjer.*
- (iii) *Styret står fritt med hensyn til hvilken måte*

### **8 PROPOSAL FOR AUTHORIZATION TO ACQUIRE TREASURY SHARES**

The chairman of the meeting gave an account for the proposal from the board.

In accordance with the Board's proposal, the general meeting passed the following resolution:

- (i) *The Board authorization to acquire treasury shares granted on 13 June 2025 is cancelled.*
- (ii) *The Board of Directors is authorized to acquire own shares in the Company, on one or several occasions, with a par value of up to NOK 3,358,740. The authorization also includes agreements regarding pledges*

#### **9 FORSLAG OM FULLMAKT TIL OPPTAK AV KONVERTIBELT LÅN 9 PROPOSAL FOR AUTHORIZATION TO RAISE CONVERTIBLE LOANS**

Møteleder redegjorde for styrets forslag.

Generalforsamlingen fattet deretter følgende vedtak i overenstemmelse med styrets forslag:

*Styrefullmakten til å ta opp konvertible lån tildelt 13. juni 2025 kanselleres.*

*Styret gis herved fullmakt til å ta opp konvertible lån for et beløp tilsvarende inntil NOK 250 000 000, jf. aksjeloven § 11-8. Innenfor denne rammen kan fullmakten benyttes flere ganger.* 

*Tegningskurs og andre vilkår ved låneopptaket besluttes av styret.*

*Ved konvertering av lånet til aksjer i Selskapet kan Selskapets aksjekapital økes med inntil NOK 16 793 720. Aksjeeiernes fortrinnsrett ved tegning av lånene skal kunne fravikes.*

*Fullmakten gjelder i to år fra datoen for denne generalforsamlingen.*

In accordance with the Board's proposal, the general meeting passed the following resolution:

*The Board authorization to raise convertible loans granted on 13 June 2024 is cancelled.*

*The Board is hereby granted the authority to raise convertible loans for an amount corresponding to up to NOK 250,000,000, cf. the Norwegian Private Limited Liability Companies Act section 11-8. Within this limit, the authorization may be used several times.*

*Subscription price and other terms related to the raise of the loan shall be determined by the Board.* 

*Upon conversion of the loan to shares in the Company, the share capital of the Company may be increased with up to NOK 16,793,720. The existing shareholders' preferential right to subscribe for the loans may be deviated from.*

*The authorization is valid for two years following the date of this general meeting.*
