LINDBERGH S.P.A.: FIRMATO ACCORDO PRELIMINARE PER L'ACQUISIZIONE DEL 100% DI TERMOTECNICA MONZESE S.R.L.

Pescarolo ed Uniti (CR), 07/07/2025 – Lindbergh S.p.A. (EGM:LDB), Gruppo che offre servizi nei settori MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) ed Economia Circolare, comunica di aver sottoscritto, attraverso la controllata SMIT Srl, un accordo preliminare per l'acquisizione del 100% della società TERMOTECNICA MONZESE S.r.L., realtà con oltre 50 anni di storia operante nei territori della provincia di Monza e della Brianza.

Termotecnica Monzese vanta un'esperienza pluriennale nella gestione, manutenzione e assistenza di impianti di riscaldamento e climatizzazione, sia in ambito civile che industriale. L'azienda è inoltre specializzata nella manutenzione generale di ambienti e impianti destinati all'uso collettivo o produttivo, come quelli per il trattamento delle acque e le soluzioni basate su energie alternative.

L'operazione rappresenta un ulteriore passo nella strategia di crescita per linee esterne di Lindbergh nel settore HVAC, rafforzando la sua presenza nei servizi di assistenza tecnica ed installazione. L'acquisizione assume inoltre un valore particolarmente strategico e sinergico poiché avviene in un'area - il nord della Lombardia - dove sono già attive le società Vergottini ed EPS, società facenti parte del Gruppo Lindbergh.

Nell'ultimo triennio (2022-2024), Termotecnica Monzese ha registrato ricavi annuali medi per € 1,909 milioni ed EBITDA medio di € 214 migliaia. Al 31/12/2024 l'azienda registrava una Posizione Finanziaria Netta attiva (cassa) di € 531 migliaia.

Lindbergh manterrà i diritti contrattuali del personale della società, che continuerà a operare per sostenere la crescita e integrare le sinergie di gruppo. Soci e amministratori resteranno in azienda per un periodo minimo di tre anni, assicurando una transizione graduale e supportando il piano industriale.

Dettagli dell'operazione

L'Operazione, il cui closing è previsto entro il 10/09/2025, ha un valore complessivo pari a euro 1 milione (oltre alla Posizione Finanziaria Netta, rettificata alla data del closing, stimata in € 80.000 e comprensiva anche del TFR e di alcune poste residuali), che verrà corrisposto come segue:

€ 70.000 come caparra, versati contestualmente alla sottoscrizione dell'accordo preliminare;
€ 330.000 da versarsi all'atto della stipula notarile dell'atto di vendita;
€ 600.000 da corrispondere, a partire dal semestre successivo all'atto definitivo di cessione di quote, in 8 rate semestrali da € 75.000. A tale importo andrà aggiunto il valore della PFN (stimata, come sopra descritto, in € 80.000), anch'esso ripartito in 8 rate e versato con le stesse modalità.

Si segnala che l'operazione non è da considerarsi significativa ai sensi dell'art. 12 del Regolamento Emittenti Euronext Growth Milan.

LINDBERGH S.P.A.: PRELIMINARY AGREEMENT SIGNED FOR THE ACQUISITION OF 100% OF TERMOTECNICA MONZESE S.R.L.

LINDBERGH ADVANCES ITS STRATEGIC EXPANSION IN THE HVAC (Heating, Ventilation, and Air Conditioning) SECTOR

Pescarolo ed Uniti (CR), July 7th, 2025 - Lindbergh S.p.A. (EGM: LDB), a Group providing services in the MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation & Air Conditioning), and Circular Economy sectors, announces that it has signed, through its subsidiary SMIT S.r.l., a preliminary agreement for the acquisition of 100% of the share capital of Termotecnica Monzese S.r.L., a company with over 50 years of history, operating in the Province of Monza.

Termotecnica Monzese brings with it many years of experience in the management, maintenance, and servicing - both routine and extraordinary - of heating and air conditioning systems in both residential and industrial settings. The company also specializes in the general maintenance of facilities and systems intended for collective or production use, including water treatment systems and alternative energy solutions.

This transaction marks another important step in Lindbergh's external growth strategy in the HVAC sector, further strengthening its presence in technical assistance and installation services. The acquisition has also a strategic relevance due to its strong territorial synergy: the northern Lombardy area is already served by Vergottini and EPS, both companies belonging to the Lindbergh Group.

In the last three years (from 2022 to 2024), Termotecnica Monzese recorded average annual revenues of €1.909 million and an average EBITDA of €214,000. As of December 31, 2024, the company reported a net financial position (cash) of € 531,000.

Lindbergh will preserve the contractual rights of the acquired companies' staff, who will continue to support growth and contribute to group synergies. Shareholders and directors will remain with the company for a minimum period of three years, ensuring a smooth transition and supporting the implementation of the industrial plan.

Transaction Details

The transaction, expected to close by September 10th, 2025, has a total value of EUR 1 million (in addition to Net Financial Position adjusted as of the closing date and estimated at € 80,000 inclusive of severance indemnities and other residual items), to be paid as follows:

€ 70,000 as a preliminary deposit, paid at the signing of the preliminary agreement;
€ 330,000 upon execution of the notarial deed of sale;
€ 600,000 to be paid, starting from the semester following the final deed of share transfer, in 8 semi-annual instalments of €75,000. This amount shall be increased by the value of the Net Financial Position (estimated at €80,000), which will also be divided into 8 instalments and paid under the same terms.

It should be noted that the transaction is not considered significant pursuant to Article 12 of the Euronext Growth Milan Issuers' Regulations.
