Şirketimizin İlişkili Taraf İşlemlerine İlişkin Esaslar'ı uyarınca, her mali yıl başlangıcında ilgili mali yıla ilişkin gerçekleştirilmesi öngörülen Sürekli İlişkili Taraf İşlemleri Yönetim Kurulu'nun onayına tabi olup, söz konusu yönetim kurulu kararının ticari sır niteliği taşımayan içeriğinin özetinin kamuya açıklanması gerekmektedir.

Ayrıca, yönetim kurulu kararına ek olarak, Şirket ile ilişkili tarafları arasındaki yaygın ve süreklilik arz eden işlemlerin bir hesap dönemi içerisindeki tutarının, alış işlemlerinde son yıllık finansal tablolara göre oluşan satışların maliyetine olan oranının, satış işlemlerinde son yıllık finansal tablolara göre oluşan hasılat tutarına olan oranının %10'una veya daha fazlasına ulaşacağının öngörülmesi durumunda işlemlerin şartlarına ve piyasa koşulları ile karşılaştırılmasına ilişkin olarak bir rapor hazırlanması ve ilgili raporun sonuç kısmının kamuya açıklanması gerekmektedir.

Bu doğrultuda, Yönetim Kurulumuz, 12 Ağustos 2022 tarihli ve 2022/28 sayılı kararı ile aşağıdakilere karar vermiştir:

(i)Şirketimizin ilişkili taraflarından olan Gediz Elektrik Perakende Anonim Şirketi ve Aydem Elektrik Perakende Anonim Şirketi ile şirket arasında gerçekleşmesi öngörülen yaygın ve süreklilik arz eden işlemlerinin tutarının Şirketin son yıllık finansal tablolara göre oluşan hasılat tutarına olan oranının %10'u aşması öngörülmektedir.

(ii)Şirketimizin ilişkili taraflarından olan Parla Solar Hücre ve Panel Üretim A.Ş. ile şirket arasında gerçekleşmesi öngörülen yaygın ve süreklilik arz eden işlemlerinin tutarının Şirketin son yıllık finansal tablolara göre oluşan satışların maliyeti tutarına olan oranının %10'u aşması öngörülmektedir.

(iii)Şirketimizin ilişkili taraflarından olan Aydem Holding A.Ş. ile şirket arasında gerçekleşmesi öngörülen yaygın ve süreklilik arz eden işlemlerinin tutarının Şirketin son yıllık finansal tablolara göre oluşan satışların maliyeti tutarına olan oranının %10'u aşmaması öngörülmektedir. Ancak Şirketimizin İlişkili Taraf İşlemlerine İlişkin Esaslar'ı uyarınca Şirketin son yıllık finansal tablolara göre oluşan hasılatın %3'ünü aşması öngörülmektedir.

(iv)Söz konusu işlemler, ilişkili taraf olmayan üçüncü kişilere uygulanan fiyat ile aynı fiyat üzerinden gerçekleştirilecektir. Bu kapsamda, öngörülen işlemlere ilişkin koşulların önceki yıllarla uyumlu ve piyasa koşulları ile karşılaştırıldığında makul olduğu değerlendirilmiştir.

Yönetim Kurulumuzun hazırladığı raporun sonuç kısmı aşağıda belirtilmiştir:

Sermaye Piyasası Kurulu'nun Seri II.17.1 sayılı Kurumsal Yönetim Tebliği'nin 10. maddesine istinaden;

Şirketimizin Gediz Elektrik Perakende Anonim Şirketi ve Aydem Elektrik Perakende Anonim Şirketi ile yaygın ve süreklilik arz eden elektrik satış işlemlerinin 01.01.2022 - 31.12.2022 hesap dönemi içerisindeki tutarının, Şirketimizin son yıllık finansal tablolarına göre oluşan hasılat tutarına olan oranının Tebliğ'in yukarıda belirtilen ilgili maddesine göre %10'unu geçmesi öngörülmektedir.

Şirketimizin Parla Solar ile yaygın ve süreklilik arz eden alış işlemlerinin 01.01.2022 - 31.12.2022 hesap dönemi içerisindeki tutarının, son finansal tablolarda yer alan hasılat tutarına olan oranının şirket politikasına göre %3'ünü geçmesi ve Tebliğ'in yukarıda belirtilen ilgili maddesine göre de son finansal tablolarda yer alan satışların maliyetinin %10'unu geçmesi öngörülmektedir.

Şirketimizin Aydem Holding A.Ş. ile yaygın ve süreklilik arz eden alış işlemlerinin 01.01.2022 - 31.12.2022 hesap dönemi içerisindeki tutarının, son finansal tablolarda yer alan hasılat tutarına olan oranının şirket politikasına göre %3'ünü geçmesi ancak; Tebliğ'in yukarıda belirtilen ilgili maddesine göre de son finansal tablolarda yer alan satışların maliyetinin %10'unu geçmeyeceği öngörülmektedir.

İşbu raporda; 2022 yılı içerisinde yukarıda ifade edilen ilişkili taraf ile yapılması öngörülen işlemin koşulları, fiyat belirleme yöntemleri ve bu yöntemlerin seçilmesindeki gerekçeler açıklanarak, işlemlerin piyasa koşullarına uygunluğu hakkında bilgi sunulmuştur.

İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

In accordance with our Company's Principles Regarding Related Party Transactions, permanent Related Party Transactions envisaged to be performed in relation to the relevant financial year at the beginning of each financial year, subject to the approval of the Board of Directors, and summary of the content of the said board of directors' decision, which does not have the characteristics of trade secret, should be disclosed to the public.

Moreover, in addition to the decision of the board of directors, in case it is estimated that the rate of the amount of common and continuous transactions between the company and its related parties in an accounting period to the cost of sales in purchase transactions according to the recent annual financial statements will reach to %10 or more of the rate of sales transactions to the amount of revenue generated according to the last annual financial statements, a report shall be prepared on the terms of the transactions and their comparison with the market conditions and the conclusion part of such report shall be disclosed to the public.

Accordingly, our Board of Directors, with its August 12, 2022 dated and 2022/28 numbered decision, agreed on the following issues:

(i)The amount of the common and continuous transactions foreseen to be performed between the company and Gediz Elektrik Perakende Anonim Şirketi and Aydem Elektrik Perakende Anonim Şirketi, which are related parties of our company, is expected to exceed %10 of the rate to the revenue amount according to the company's recent annual financial statements.

(ii)The amount of common and continuous transactions foreseen to be performed between the company and Parla Solar Hücre ve Panel Üretim Anonim Şirketi, which is a related party of our company, is expected to exceed %10 of the rate to the cost of sales amount according to the company's recent annual financial statements.

(iii)The amount of common and continuous transactions foreseen to be performed between the company and Aydem Holding A.Ş., which is a related party of our company, is not expected to exceed %10 of the rate to the cost of sales amount according to the company's recent annual financial statements. However, in accordance with the Principles Regarding Related Party Transactions of our Company, it is expected to exceed %3 of the rate to the revenue amount according to the company's last annual financial statements.

(iv)Mentioned transactions will be performed at the same price as the price applied to third parties who are not related parties. In this context, it has been evaluated that the foreseen transaction conditions are in line with previous years and are reasonable when compared to market conditions.

Pursuant to Article 10 of the Communiqué on Corporate Governance Serial II.17.1 of the Capital Markets Board;

It is foreseen that the rate of the amount of common and continuous electricity sales transactions of our company with Gediz Elektrik Perakende Anonim Şirketi and Aydem Elektrik Perakende Anonim Şirketi within the accounting period of 01.01.2022 - 31.12.2022 to the amount of revenue generated according to the our Company's recent annual financial statements will exceed 10% according to the specified article of the Communiqué.

It is foreseen that the rate of the amount of common and continuous purchase transactions of our company with Parla Solar Hücre ve Panel Üretim Anonim Şirketi within the accounting period of 01.01.2022 - 31.12.2022 to the amount of revenue generated according to our Company's recent annual financial statements will exceed 3% according to the Company policy and to the amount of cost of sales generated according to our Company's recent annual financial statements will exceed 10% according to the article mentioned above of the Communiqué.

It is foreseen that the rate of the amount of common and continuous purchase transactions of our company with Aydem Holding A.Ş. within the accounting period of 01.01.2022 - 31.12.2022 to the amount of revenue generated according to our Company's recent annual financial statements will exceed 3% according to the Company policy. However, it is foreseen that the rate of the amount of cost of sales generated according to our Company's recent annual financial statements will not exceed 10% according to the article mentioned above of the Communiqué.

In this report, the conditions of the foreseen transactions made with the above-mentioned related party in 2022, the price determination methods and the reasons for choosing such methods are explained, and information about the compliance of the transactions with the market conditions is presented.
