Yurt dışı iştiraklerimizin yapılandırılması kapsamında, Şirketimizin %100 bağlı ortaklığı Vestel Ticaret AŞ'nin ("Vestel Ticaret") Almanya'da mukim %100 bağlı ortaklığı Vestel Germany GmbH ile yine Vestel Ticaret'in Hollanda'da mukim %100 bağlı ortaklığı Vestel Holland B.V.'nin, Vestel Holland B.V. altında birleştirilmesine karar verilmiştir. Bu birleşme ile Vestel Germany GmbH'nin tüm varlık, yükümlülük  ve operasyonları 31 Aralık 2022 tarihi itibarıyla, Vestel Holland B.V.'nin Almanya'da kurulu şubesi olan Vestel Holland B.V. Germany Branch Office'e devredilmiştir. Vestel Holland B.V. Germany Branch Office, Vestel Germany GmbH'nin organizasyon, ortaklık yapısı, fonksiyon ve operasyonlarını mevcut hali ile devam ettirecektir. Bu değişiklik Şirketimizin Almanya'daki pazar konumunu etkilemeyecektir.

İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

Within the scope of the restructuring of sales and marketing companies abroad, Vestel Germany GmbH, which is based in Germany and wholly-owned by Vestel Ticaret AŞ (Vestel Ticaret), a fully-owned subsidiary of Vestel Elektronik Sanayi ve Ticaret AŞ (Vestel Elektronik), has been merged into Vestel Holland B.V., another wholly-owned subsidiary of Vestel Ticaret. With the merger, all assets, liabilities and operations of Vestel Germany GmbH have been transferred to Vestel Holland B.V. Germany Branch Office, which is established in Germany by Vestel Holland B.V. The merger took place as of December 31, 2022. Following the merger, Vestel Holland B.V. Germany Branch Office will maintain the existing organizational and ownership structure of Vestel Germany GmbH and continue the company's operations. The aforementioned transfer will not affect Vestel Elektronik's position in the German market.
