("Chill Brands" or the "Company")

Status of audit and publication of accounts

Chill Brands, the consumer packaged-goods distribution company, provides an update regarding the publication of its audited financial statements for the year ended 31 March 2024 (the "FY24 Accounts").

Following various delays to the preparation of the FY24 Accounts, the Company has, in recent months, made significant progress and is now in the completion stages of the audit of the FY24 Accounts. Completion of the audit is subject to secondary, technical and engagement quality reviews by the Company's statutory auditors to ensure compliance with applicable accounting and regulatory standards.  As a result, while material progress has been made, the Company now expects that it will not be able to meet its previously stated target of publishing the FY24 Accounts within Q1 2025. The Company now expects to publish its audited FY24 Accounts during April 2025.

In addition, the Company expects to publish its unaudited interim accounts for the six-month period ended 30 September 2024 (the "H1 FY25 Interim Accounts") shortly after the publication of the FY24 Accounts.

The Company confirms that it continues to progress its proposed fundraising, as announced on 11 March 2025, and expects this to be completed in conjunction with the publication of the FY24 Accounts. Further details in relation to the fundraising will be provided in due course.

Trading in the Company's shares remains suspended pending publication of the FY24 Accounts and the H1 FY25 Interim Accounts. The Company will work closely with its auditors and the Financial Conduct Authority to request the restoration of trading at the earliest opportunity following the publication of the accounts.
