Additional Explanations

Türkiye Finansal Raporlama Standartları (TFRS) esas alınarak hazırlanan ve PKF Aday Bağımsız Denetim ve Serbest Muhasebeci Mali Müşavirlik A.Ş. tarafından denetlenen, 01.01.2022 - 31.12.2022 hesap dönemine ilişkin finansal tablolar incelenerek kabul edilmiş ve Genel Kurula sunulması uygun görülmüştür. Söz konusu finansal tablolar ile Şirketimizin Vergi Usul Kanunu (VUK) hükümlerine uygun olarak tutulan kayıtlara göre oluşan mali tablolarının incelenmesi sonucunda;

TFRS'ye uygun olarak hazırlanan finansal tablolara göre 767.308.135, TL net dönem karı, VUK kayıtlarına göre ise 504.060.026,48 TL cari yıl dönem karı bulunduğu görülerek;

a) Şirket Esas Sözleşmemizin Karın Tespit ve Tevzii başlıklı 17. Maddesi ve Türk Ticaret Kanunu'nun 519. maddesi uyarınca ayrılması gereken genel kanuni yedek akçenin ayrılması,

b) Sermaye Piyasası mevzuatı uyarınca düşük olan tutarın kar payı olarak dağıtılması öngörüldüğünden VUK kayıtları uyarınca 01.01.2022-31.12.2022 hesap dönemine ait birinci tertip yasal akçeler ayrıldıktan sonra oluşan 484.952.430,12 TL üzerinden 34.425.000 TL'nin ikinci yasal yedek akçe olarak ayrılması ile dağıtılabilir dönem karı 450.527.430,12 TL olmaktadır. Bu tutar üzerinden 350.000.000 TL pay sahiplerine kar payı olarak dağıtılması , kalan 100.527.430,12 TL'nin olağanüstü yedek olarak ayrılması,

c) Kar payı ödeme tarihinin 04.04.2023 olarak belirlenmesi,

Yukarıda yer verilen a, b ve c bentlerinde yer alan hususların Şirketimiz Olağan Genel Kurul Toplantısı'nda pay sahiplerimizin onayına sunulmasına karar verilmiştir.
