Additional Explanations

Yönetim Kurulu'muzun 17.03.2023 tarih ve 2023 / 05 nolu kararı gereği;

1- Sermaye Piyasası Kurulu'nun II-14.1 sayılı tebliği hükümleri uyarınca hazırlanıp bağımsız denetimden geçmiş olan; 2022 dönemi finansal tablolarımıza göre Net Dönem Kârı 176.808.790,33 TL olup, 3.507.633,00 TL 1.tertip Yasal Yedek Akçe düşüldükten sonra 173.301.157,33 TL Net Dönem Kârına ulaşılmaktadır.

2- Vergi Usul Mevzuatına göre hazırlanmış 2022 dönemi finansal tablolarımıza göre Net Dönem Kârı 150.679.295,24 TL olup, Genel Kanuni Yedek Akçenin Türk Ticaret Kanunu'nun 519.maddesinin (1.) fıkrası ve şirketimizin Esas Sözleşmesi'nin 31.maddesinde belirtilen tavana ulaşmış olması nedeniyle 3.507.633,00 TL (1.tertip Yasal Yedek Akçe) düşüldükten sonra 147.171.662,24 TL Net Dönem Kârına ulaşılmaktadır.

3- SPK'ya göre kalan 173.301.157,33 TL ve Vergi Usul Mevzuatına göre kalan 147.171.662,24 TL kârın, Türkiye'nin olağanüstü bir dönemden geçtiği bu dönemde, şirketin finansal yapısını da göz önüne alınarak güçlendirmek üzere olağanüstü yedeklerde bırakılmasına ve 2022 dönem kârından temettü dağıtılmaması hususunun Genel Kurul'a teklif olarak götürülmesine oy birliği ile karar verilmiştir.
