Additional Explanations

Şirket Yönetim Kurulu, 21.03.2023 tarihinde Şirket Merkezinde toplanarak aşağıdaki kararları almıştır:

Yönetim Kurulu yapmış olduğu görüşmeler sonucunda; yasal kayıtlardaki dağıtılabilir kârın SPK düzenlemelerine göre hazırlanan mali tablolarındaki dağıtılabilir kârın altında olması nedeniyle yasal düzenlemelere göre hazırlanan mali tablolarındaki dağıtılabilir kâr tutarının kâr dağıtımına esas alınmasına, bu çerçevede brüt 30.000.000,00 TL net 27.000.000,00 TL nakit kâr dağıtılmasına ilişkin teklifin ekte yer alan kâr dağıtım tablosu uyarınca Genel Kurul'un onayına sunulmasına; Bu çerçevede;

a) 2022 yılı Vergi Mevzuatına göre oluşan net dönem kârı olan 120.929.130,57 TL'den %5 oranında toplam 6.046.456,53 TL 1. Tertip Yedek Akçe ayrılmasına,

b) Vergi sonrası net kâr olan 120.929.130,57 TL'den 6.046.456,53 TL 1.Tertip Yedek Akçe ayrıldıktan sonra, ortaklara brüt 30.000.000 TL, net 27.000.000 TL kâr payı dağıtılmasına, dağıtılan kâr payı üzerinden 2.670.000,00 TL ikinci tertip yedek akçe ayrılmasına,

c) Kalan bakiyelerin olağanüstü yedek akçe olarak ayrılmasına,

d) Kâr dağıtımı ödemesinin 15 Mayıs 2023 tarihinde brüt 15.000.000,00 TL ve 14 Temmuz 2023 tarihinde brüt 15.000.000,00 TL olacak şekilde iki eşit taksitte gerçekleştirilmesi hususunun Genel Kurul Toplantısı'nda ortaklarımızın onayına sunulmasına oy birliği ile karar verilmiştir.

Kararda belirtilen ödeme tarihleri için hak kullanımları 1. Taksitte 11 Mayıs 2023, 2. Taksitte 12 Temmuz 2023 olarak uygulanacaktır.

Yönetim Kurulunun kar payı dağıtımına ilişkin teklifi 2022 Yılı Olağan Genel Kurul Toplantısı'nda ortakların onayına sunulacaktır.
