Şirketimizin 30.03.2023 tarihli 2022 yılı Olağan Genel Kurul Toplantısında;

Yönetim Kurulu'nun 07.03.2023 tarih ve 2023/08 sayılı; "Menderes Tekstil Sanayi ve Ticaret A.Ş. yönetimi tarafından Sermaye Piyasası Kurulu'nun (II-14.1) sayılı Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği uyarınca Türkiye Muhasebe Standartları/Türkiye Finansal Raporlama Standartları (TMS/TFRS) ve SPK tarafından belirlenen formatlar ile uyumlu olarak hazırlanan ve PKF Aday Bağımsız Denetim A.Ş. tarafından denetlenen 01.01.2022-31.12.2022 hesap dönemine ait konsolide finansal tablolara göre 1.037.331.809 TL ana ortaklığa ait net dönem karı, konsolide olmayan VUK hükümlerine göre düzenlenmiş yasal kayıtlarımızda ise 382.977.228,57 TL cari yıl dönem karı ve 494.361.609,62 TL tutarında geçmiş yıllar zararı bulunduğu görülerek; Sermaye Piyasası Mevzuatı ile Şirket Esas Sözleşmesinin 17. Maddesi çerçevesinde, VUK'a göre hazırlanan mali tablolara göre oluşan kardan geçmiş yıl zararlarının düşülmesinden sonra bakiye kalmadığından, kar payı dağıtılamayacağı görülmüş olup; VUK kayıtlarına göre hazırlanan mali tablolara göre oluşan 382.977.228,57 TL cari yıl dönem karının geçmiş yıl zararlarından mahsup edilmesine, TFRS'ye uygun olarak hazırlanan finansal tablolara göre oluşan 1.037.331.809 TL ana ortaklığa ait net dönem karının ise ilgili finansal tablolarda geçmiş yıl karlarına aktarılmasına ve SPK'nın kar dağıtımına ilişkin düzenlemeleri uyarınca kar payı dağıtılmayacağına" ilişkin teklifi oy çokluğu ile kabul edildi.
