Sermaye Piyasası Kurulu'nun, 3 Ocak 2014 tarih ve 28871 sayılı Resmi Gazete'de yayımlanarak yürürlüğe giren II-17.1 sayılı "Kurumsal Yönetim Tebliği"nin "Yaygın ve Süreklilik Arz Eden İşlemler" başlıklı 10. maddesi gereğince, Vestel Elektronik Sanayi ve Ticaret AŞ'nin 2023 yılı finansal planlaması kapsamında;

- Vestel Elektronik Sanayi ve Ticaret AŞ ("Vestel Elektronik") ve bağlı ortaklığı Vestel Beyaz Eşya Sanayi ve Ticaret AŞ'nin ("Vestel Beyaz Eşya") 2023 yılında Vestel Ticaret AŞ'ye ("Vestel Ticaret") yapacağı mamul satışlarının toplamının Vestel Elektronik'in kamuya açıklanan son yıllık konsolide finansal tablolarında yer alan hasılat tutarına olan oranının %10'u aşacağı öngörülmüş olup, satış işlemlerinin kapsam ve şartlarının önceki yıllarla uyumlu ve piyasa koşulları ile karşılaştırıldığında makul olduğu,

- Vestel Elektronik ve bağlı ortaklıkları Vestel Beyaz Eşya ve Vestel Ticaret'in 2023 yılında Vestel Holland B.V.'den yapacağı hammadde ve malzeme alımlarının toplam tutarının Vestel Elektronik'in kamuya açıklanan son yıllık konsolide finansal tablolarında yer alan satışların maliyetine olan oranının %10'u aşacağı öngörülmüş olup, söz konusu alış işlemlerinin kapsam ve koşullarının önceki yıllarla uyumlu ve piyasa koşulları ile karşılaştırıldığında makul olduğu değerlendirilmiştir.

The conclusion section of the "Report on the Common and Continuous Transactions" between Vestel Elektronik Sanayi ve Ticaret AŞ (including consolidated subsidiaries) and its related parties, which was prepared in accordance with the Article 10 of the CMB's (II.17.1) Communiqué on Corporate Governance, is provided below :

Within the context of the Company's financial planning for the year 2023,

- Total revenues to be generated by Vestel Elektronik Sanayi ve Ticaret AŞ ("Company") and its subsidiary Vestel Beyaz Eşya Sanayi ve Ticaret AŞ ("Vestel Beyaz Eşya") from the sale of products to Vestel Ticaret AŞ ("Vestel Ticaret") in 2023 are foreseen to exceed 10% of the Company's revenues reported in its latest publicly announced annual consolidated financial statements. It is concluded that the terms of the sales transactions with Vestel Ticaret are compatible with previous years and are reasonable when compared with the market conditions,

- Total amount of raw material purchases to be made by Vestel Elektronik and its subsidiaries Vestel Beyaz Eşya and Vestel Ticaret from Vestel Holland B.V. in 2023 within the context of common and continuous raw material procurement transactions are foreseen to exceed 10% of the Company's cost of sales reported in its latest publicly announced annual consolidated financial statements. It is concluded that the terms of the purchase transactions with Vestel Holland B.V. are compatible with previous years and are reasonable when compared with the market conditions.
