Additional Explanations

Şirketimizin 06.07.2023 tarihli Yönetim Kurulu kararı ile;

Vergi Mevzuatı kapsamında 01.01.2022 – 31.12.2022 hesap dönemine ait Yasal Muhasebe Kayıtları'na göre 6.419.556,00 TL Net Dönem Karı oluştuğu, bu tutardan TTK'nun 519. maddesinin 1. fıkrası uyarınca hesaplanan 320.977,80 TL tutarında "Genel Kanuni Yedek Akçe" düşüldükten sonra, 6.098.578,20 TL tutarında "Net Dağıtılabilir Dönem Karı" oluştuğu görülerek,

- Kar dağıtımında 01.01.2022 – 31.12.2022 hesap dönemine ait Yasal Muhasebe Kayıtları'nın esas alınmasına,

- Bu çerçevede; Yasal Muhasebe Kayıtları'nda yer alan 6.098.578,20 TL tutarındaki 2022 yılı "Net Dağıtılabilir Dönem Karından" ortaklara 1.900.000,00 TL tutarında birinci kar payı dağıtılmasına,

- Bu çerçevede, kar payı dağıtımına başlandığı tarihte "küsurat" konusunda geçerli olan, Merkezi Kayıt Kuruluşu A.Ş. kurallarına uymak suretiyle, "Çıkarılmış Sermaye"nin %1,9'u oranında brüt 1.900.000,00 TL kar payı dağıtılmasına,

- SPK ve KGK düzenlemeleri çerçevesinde, TMS ve TFRS'ye uygun olarak hazırlanan finansal tablolarına göre yukarıda bahsi geçen yasal ve özel karşılıklar ayrıldıktan sonra yasal kayıtlara göre 4.198.578,20 TL ve SPK mevzuatına göre 419.531.514,20 TL tutarındaki dağıtıma tabi tutulmayan karların "Olağanüstü Yedekler" hesabına alınmasına,

-Pay sahiplerine ödenecek brüt temettü toplamı olan 1.900.000,00 TL'nin tamamının 15.08.2023 tarihinde nakden ödenmesine;

Bahsi geçen kar dağıtım hususlarının 2022 yılı şirketimizin Olağan Genel Kurul Toplantısı'nda ortaklarımızın onayına sunulmasına ve Kar Dağıtım Tablosu'nun ekteki gibi düzenlenmesine oy birliği ile karar verilmiştir.
