Yönetim Kurulumuzun 24 Mayıs 2023 tarihli kararı doğrultusunda bağlı ortaklığımız Exsa Export Sanayi Mamulleri Satış ve Araştırma A.Ş. (Exsa)'nin tüm aktif ve pasifleri ile birlikte bir kül halinde Şirketimiz tarafından devralınması suretiyle Şirketimiz bünyesinde gerçekleştirilen birleşme işlemi neticesinde Şirketimizce 59.972.038,18 TL nominal değerde sermaye artırımı gerçekleştirilmiş olup, bu suretle ihraç olunacak ve Exsa'nın Şirketimiz dışındaki diğer ortaklarına tahsis edilecek paylara ilişkin Sermaye Piyasası Kurulunca onaylı ihraç belgesi ekte yer almaktadır.

In line with the resolution of the Board of Directors of Sabancı Holding dated May 24, 2023, the merger transaction where all of the assets and liabilities of Exsa Export Sanayi Mamulleri Satış ve Araştırma A.Ş. (Exsa), a subsidiary of Sabancı Holding, be acquired as a whole by Sabancı Holding, has been completed and a capital increase of TRY 59,972,038.18 nominal value has been made by Sabancı Holding. In this respect, the official issuance certificate for the shares issued and allocated to the other shareholders of Exsa except for Sabancı Holding is attached as approved by the Capital Markets Board of Turkiye.

In case of a discrepancy between the Turkish and English versions of this public disclosure statement, Turkish version shall prevail.
