Additional Explanations

Our Board of Directors has made the following decisions for registered capital ceiling;

The registered capital ceiling, currently at 200,000,000 Turkish Lira, will be increased to 3,000,000,000 Turkish Lira, and the validity period will be extended to cover the years 2024-2028.

The registered capital ceiling will be amended in accordance with the principles outlined in the Capital Markets Board's Regulation on the Registered Capital System, numbered 11-18.1, as per the content provided in Article 6 of our articles of association attached herewith.

Applications will be submitted to the Capital Markets Board and the Ministry of Trade for obtaining the necessary approvals.

The decision has been made to submit the proposed amendment to the Articles of Association for approval at the upcoming first General Assembly and an application has been made to the Capital Markets Board for the necessary approvals on 01.03.2024.
