Şirketimizin dolaylı bağlı ortaklığı Global Ports Holding Plc ("GPH"), Sixth Street Capital Partners LLC ("Sixth Street")'nin GPH'ye daha önce sağladığı kredinin teminatı olarak Sixth Street lehine varant ihraç etmişti.  Bu kapsamda GPH Sixth Street'e, 24 Mayıs 2021'de açıklanan finansman paketinin bir parçası olarak başlangıç varantları ve 14 Temmuz 2023'te yapılan ek düzenleme kapsamında ise ilave varantlar vermiş ve bu varant ihraçları GPH'in 2021 ve 2023 genel kurullarında onaylanmıştı. GPH, Sixth Street'e olan kredisini Eylül 2023'te kapatmış ve bu husus Şirketimizin 29.09.2023 tarihli özel durum açıklaması ile duyurulmuştu. GPH, Sixth Street'in halen sahibi olduğu beher hisse bedeli 0,01 paund (1 peni) nominal değerli toplam 8.395.118 adet varantın tamamının Sixth Street tarafından kullanılacağına dair bildirim aldığını Şirketimize bildirmiştir.

Varantların hisseye dönüşmesi suretiyle oluşacak yeni hisse senetlerinin Londra Borsası'nda (LSE) işlem görmesi için GPH tarafından ilgili otorite olan FCA'ye (Financial Conduct Authority) başvuruda bulunulacak olup; yeni hisse senetlerinin 28 Mart 2024 tarihi itibariyle LSE'de işlem görmeye başlaması beklenmektedir.

Bu işlemler sonrasında GPH'in çıkarılmış sermayesi, her biri 0,01 paund (1 peni) olan 76.433.126 hisseden oluşacaktır ve Şirketimizin sahip olduğu hisse adedi değişmeyerek 45.068.066 olarak kalacaktır.

Our company's indirect subsidiary, Global Ports Holding Plc ("GPH"), had previously issued warrants in favor of Sixth Street Capital Partners LLC ("Sixth Street") as collateral for a loan provided by Sixth Street to GPH. In this context, GPH granted initial warrants to Sixth Street as part of the financing package announced on May 24, 2021, and additional warrants under the amendment made on July 14, 2023, which were approved at GPH's general assemblies in 2021 and 2023. GPH closed its debt to Sixth Street in September 2023, a fact announced in our company's announcement dated September 29, 2023. GPH has informed us that it received a notification from Sixth Street of its intention to exercise all 8,395,118 warrants it holds, each with a nominal value of £0.01 (one penny).

GPH will apply to the Financial Conduct Authority (FCA), the relevant authority, for the new shares created by the conversion of the warrants to be listed on the London Stock Exchange (LSE); these new shares are expected to start trading on the LSE as of March 28, 2024.

Following these transactions, GPH's issued capital will consist of 76,433,126 shares, each with a nominal value of £0.01 (one penny), and the number of shares held by our company will remain unchanged at 45,068,066.
