Şirketimizin 20.11.2023 tarihli Yönetim Kurulu Kararı ile Venezuela'da kurulmuş olan %75,5 oranında pay sahibi olduğumuz Invenergia C.A. şirketinin meşru çıkarlarının korunması, faaliyetin bilançodaki büyüklüğü ve pazardaki rekabet koşulları da dikkate alınarak Şirket için dezavantaj yaratmaması adına, II.15.1 sayılı Özel Durumlar Tebliğ Md.6 kapsamında ilgili sürecin netlik kazanmasına kadar açıklanmasının ertelenmesine karar verilmiştir. Şirketimizin 01.12.2023 tarihinde Çan2 Termik A.Ş. ile yapmış olduğu Devir Taahhüt Protokolü çerçevesinde, söz konusu şirketin hisse devir işleminin gerçekleşmiş olması itibariyle ilgili erteleme ortadan kalkmıştır.

The Board of Directors Meeting has been held on 20.11.2023 and decided to postpone the disclosure of Invenergia C.A., a company established in Venezuela, which Odas holds 75.5% of shares by taking into account of the following issues:

- Protect the company's legitimate interests

- Not creating disadvantages for the Company due to the size of the activity in the balance sheet

- The competitive conditions in the market

until the clarification of the relevant process within the scope of Article 6 of the Communiqué on Material Events numbered II.15.1.

Within the framework of the Transfer Commitment Protocol made by Odas with Çan2 Termik A.Ş. on 01.12.2023, the relevant postponement has been lifted since the share transfer of the Company is completed.

In contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
