Additional Explanations

Yönetim Kurulumuzun bugünkü toplantısında;

Türk Ticaret Kanunu ("TTK"), Sermaye Piyasası Mevzuatı ve Sermaye Piyasası Kurulu ("SPK") Düzenlemeleri, ilgili Yasal Mevzuat Hükümleri ile Şirketimizin Esas Sözleşmesi'nin ilgili hükümleri dikkate alınarak aşağıdaki kararlar alınmıştır.

TFRS'ye uygun olarak hazırlanan finansal tablolara göre 37.808.348,00 TL ana ortaklığa ait net dönem karı, VUK kayıtlarına göre ise 37.238.051,06 TL cari yıl karı bulunduğu görülerek;

a) Türk Ticaret Kanunu'nun 519. maddesi uyarınca 1.370.309,39 TL kanuni yedek akçenin ayrılmasına,

b) Sermaye Piyasası mevzuatı ile Şirketimiz Kar Dağıtım Politikasına uygun olarak, global ve ulusal piyasalardaki belirsizlikler ile finansmana erişim imkanları çerçevesinde, şirketimizin Özkaynak yapısı ve nakit durumu dikkate alınarak kar payı dağıtımının; şirket çıkarılmış sermayesinin %30'una tekabül edecek şekilde; 4.500.000,00 TL' nın birinci kâr payı olarak nakit dağıtılmasına,

c) Dağıtılacak kar payının %25'ine tekabül edecek şekilde; 1.125.000,00 TL kar payının yönetim kurulu üyelerine kar payı olarak nakit dağıtılmasına,

c) Toplamda hissedarlara nakit kâr payı olarak, brüt 4.500.000,00TL, net 4.050.000,00TL dağıtılmasına,

d) 1 TL nominal değerde hisse senedine %30,00 nispetinde ve 0,30 TL brüt, %27,00 nispetinde ve 0,27 TL net nakit temettü ödenmesine,

e) Yukarıda açıklanan çerçevede yapılacak olan kar dağıtımının 31/05/2024'e kadar yapılması hususunda Olağan Genel Kurul'da karar verilmesine,

Oy birliği ile karar verilmiştir.
