## **Consultation agreement between Mediobanca shareholders**

## **Excerpt required under Article 122 of Italian Legislative Decree 58/98 and Articles 129 and 131 of Consob Regulation no. 11971 of 14 May 1999 as amended**

With reference to the Consultation Agreement in force between shareholders of Mediobanca, of the kind contemplated by Article 122, paragraph 5, letter a) of Italian Legislative Decree 58/98, notice is hereby given that Notice is hereby given that: (i) on 1 July 2025, the Mediolanum Group (Banca Mediolanum S.p.A. and Mediolanum Vita S.p.A.) sold its entire shareholding in Mediobanca (29.1 million Mediobanca shares, 3.49% of the share capital) and is therefore no longer part of the Agreement;(ii) Aurelia S.r.l. and Beniamino Gavio (Gavio Group) sold, respectively, 925,000 and 993.8 thousand Mediobanca shares (0.11% and 0.12% of the share capital). The percentage represented by the Agreement decreased from 11.61% of the company's share capital to 7.88% (n. 65.698.224 shares in total).
