Additional Explanations

As per our Company's Board of Directors' resolution dated April 22, 2024, due to the net period loss of 444,544,318.00 TL resulting from the activities of 2023 in accordance with the Capital Markets Board ("CMB") regulations, it is recommended to the General Assembly not to distribute dividends to the shareholders in accordance with the CMB's regulations regarding profit distribution; in addition, in accordance with Article 519 of the Turkish Commercial Code and it has been also decided that the 5% general legal reserve fund, which must be set aside until it reaches 20% of the capital, will be set aside from the profit generated in the Tax Procedure Law records for 2023.

The proposals of the Board of Directors were submitted to the approval of the General Assembly and approved by a majority vote.

This statement has been translated into English for informational purposes. In case of a discrepancy between the Turkish and the English versions of this disclosure statement, the Turkish version shall prevail.
