Additional Explanations

Yönetim Kurulumuzun 21.05.2024 tarihli toplantısında;

Menderes Tekstil Sanayi ve Ticaret A.Ş. yönetimi tarafından Sermaye Piyasası Kurulu'nun (II-14.1) sayılı Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği uyarınca Türkiye Muhasebe Standartları/Türkiye Finansal Raporlama Standartları (TMS/TFRS) ve SPK tarafından belirlenen formatlar ile uyumlu olarak hazırlanan ve PKF Aday Bağımsız Denetim A.Ş. tarafından denetlenen 01.01.2023-31.12.2023 hesap dönemine ait konsolide finansal tablolar ile Vergi Usul Kanunu (VUK) hükümlerine uygun olarak tutulan ve enflasyon muhasebesi uygulaması öncesi yasal kayıtlara göre oluşan mali tabloların incelenmesi sonucunda;

TFRS'ye uygun olarak hazırlanan konsolide finansal tablolara göre 1.108.822.125 TL ana ortaklığa ait net dönem karı, konsolide olmayan VUK hükümlerine göre düzenlenmiş yasal kayıtlarımızda ise 555.497,17 TL cari yıl dönem zararı ve 143.236.131,75 TL tutarında geçmiş yıllar zararı bulunduğu görülmüş ve dolayısıyla VUK'a göre tutulan yasal kayıtlarda dağıtılabilir dönem karı bulunmadığı tespit edilmiştir.

Bu sebeple Sermaye Piyasası Mevzuatı kar dağıtımına ilişkin düzenlemeleri dahilinde kar payı dağıtımı yapılamayacağı ve TFRS'ye uygun olarak hazırlanan finansal tablolarda yer alan 1.108.822.125 TL ana ortaklığa ait net dönem karının geçmiş yıllar karları hesabına aktarılması hususlarının Genel Kurul'un onayına sunulmasına karar verildi.
