Şirket'imizin de dahil olduğu Zorlu Grubu yatırım politika ve stratejileri çerçevesinde, orta vadede yenilenebilir enerji projelerine odaklanmak amacıyla;  Şirketimiz 24.05.2024 tarihli yönetim kurulu toplantısında;

1. Sermayesine %42,15 oranında doğrudan iştirak ettiğimiz İsrail'de yerleşik Ezotech Electric Ltd. ("Ezotech") ‘nin 10.000 Yeni İsrail Şekeli (NIS) tutarındaki sermayesinde sahip olduğumuz, her biri 1 Yeni İsrail Şekeli (NIS) değerinde olan 4.215 adet hissenin tamamının, 5.405.406 ABD Doları karşılığında tüm hak ve borçlarıyla birlikte, gerekli koşulların sağlanması ve yasal izinlerin alınması kaydıyla, Ezotech'in diğer ortağı (%57,85) Edeltech Ltd.'ye ("Edeltech") satışına (bu satışa bağlı olarak Ezotech'in %100 bağlı ortaklıkları olan dolaylı iştiraklerimiz Ashdod Energy Ltd. ve Ramat Negev Energy Ltd. şirketleri ile bu şirketlerin altında bulunan Ashdod ve Ramat Negev doğal gaz santralleri de Edeltech'e geçecektir) ve ilaveten söz konusu satış kapsamında Şirketimiz tarafından Ezotech'den olan 28.918.919 ABD Doları tutarındaki finansal alacağımızın da Ezotech'den tahsiline;

2. Sermayesine %42,15 oranında doğrudan iştirak ettiğimiz İsrail'de yerleşik Solad Energy Ltd. ("Solad")‘nin 10.000 Yeni İsrail Şekeli (NIS) tutarındaki sermayesinde sahip olduğumuz her biri 1 Yeni İsrail Şekeli (NIS) değerinde olan 4.215 adet hissenin tamamının, hisselerin nominal değeri olan 4.215 Yeni İsrail Şekeli (NIS) karşılığında, tüm hak ve borçları ile birlikte, gerekli koşulların sağlanması ve yasal izinlerin alınması kaydıyla, Solad'ın diğer ortaklarından (%8,85)  Edeltech'e satışına ve ilaveten söz konusu satış kapsamında 4.324.324 ABD Doları tutarındaki finansal alacağın da Edeltech Energy Lines Ltd. ve Edeltech'den tahsiline;

3. Sermayesine %42,15 oranında doğrudan iştirak ettiğimiz İsrail'de yerleşik Adnit Real Estate Ltd. ("Adnit")‘nin 10.000 Yeni İsrail Şekeli (NIS) tutarındaki sermayesinde sahip olduğumuz her biri 1 Yeni İsrail Şekeli (NIS) değerinde olan 4.215 adet hissenin tamamının, hisselerin nominal değeri olan 4.215 Yeni İsrail Şekeli (NIS) karşılığında, tüm hak ve borçları ile birlikte, gerekli koşulların sağlanması ve yasal izinlerin alınması kaydıyla, Adnit'in diğer ortağı (%57,85) Edeltech Holdings 2006 Ltd.'e satışına;

karar verilmiştir. Bu kapsamda taraflar arasında sözleşmesel koşulların yerine getirilmesi ve yasal izinlerin alınması kaydıyla Ezotech, Solad ve Adnit şirketlerinin satışı için ayrı ayrı "Hisse Alım Sözleşmeleri" 24.05.2024 tarihinde (bugün) imzalanmıştır.

İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

Within the framework of Zorlu Group's investment policies and strategies, with the aim of focusing on renewable energy projects in the medium term;

In the board meeting of our company held on 24.05.2024, it was decided to;

1. Sell our entire 4,215 shares, each valued at 1 New Israeli Shekel (NIS), in the 10,000 NIS capital of Ezotech Electric Ltd.("Ezotech"), in which we hold a 42.15% direct shares, to its other partner (57.85%) Edeltech Ltd. ("Edeltech") for 5,405,406 USD, together with all rights and obligations, provided that the necessary conditions are met and legal permissions are obtained (As a result of this sale, our indirect subsidiaries Ashdod Energy Ltd. and Ramat Negev Energy Ltd., both 100% subsidiaries of Ezotech, along with the Ashdod and Ramat Negev natural gas power plants, will also be transferred to Edeltech.) Additionally, within the scope of this sale, our financial receivable, amounting to 28,918,919 USD, will be collected from Ezotech;

2. Sell our entire 4,215 shares, each valued at 1 NIS, in the 10,000 NIS capital of Solad Energy Ltd. ("Solad"), in which we hold a 42.15% direct shares, to its other partner (8.85%) Edeltech for the nominal value of the shares, 4,215 NIS, together with all rights and obligations, provided that the necessary conditions are met and legal permissions are obtained.Additionally, within the scope of this sale, our financial receivable, amounting to 4,324,324 USD, will be collected from Edeltech Energy Lines Ltd. and Edeltech;

3. Sell our entire 4,215 shares, each valued at 1 NIS, in the 10,000 NIS capital of Adnit Real Estate Ltd. ("Adnit"), in which we hold a 42.15% direct shares, to its other partner (57.85%) Edeltech Holdings 2006 Ltd. for the nominal value of the shares, 4,215 NIS, together with all rights and obligations, provided that the necessary conditions are met and legal permissions are obtained.

Within this scope, provided that the contractual conditions are met and legal permissions are obtained, separate "Share Purchase Agreements" for the sale of Ezotech, Solad, and Adnit companies have been signed today, on 24.05.2024.
