Additional Explanations

Şirketimiz Yönetim Kurulu, yukarıda belirtilen tarihte, yukarıda sayılan üyelerin katılımı ile toplanmış, toplantıya katılanların oy birliği ile aşağıdaki gündemler işlenmiş ve aşağıdaki kararlar almıştır;

Sermaye Piyasası Kurulu'nun Seri II – 14.1 sayılı "Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği" uyarınca hazırlanan 01.01.2023 – 31.12.2023 dönemine ait konsolide Bilanço ve Gelir Tablosuna göre, Şirketimizin 2023 yılı ana ortaklığa ait vergi sonrası Net Dönem Kârı 20.519.706 TL, Vergi Usul Kanununa göre hazırlanan mali tablolarda ise 241.575.561 TL Net Kâr olarak tespit edilmiştir.

Ancak Sermaye Piyasası Kurulu'nun 07.03.2024 tarih ve 14/382 sayılı kararı D-4 bendi uyarınca;

• Şirketimizin anılan kararda yer alan düzenleme çerçevesinde 577.296.514 TL olan geçmiş yıllar zararından 20.519.706 TL Dönem Net Kârı, 58.467.265 TL Kârdan Ayrılmış Kısıtlanmış Yedekler düşüldükten sonra kalan tutarın Sermaye Düzeltmesi Olumlu Farkları hesabından mahsup edilmesine,

• Bununla birlikte, TMS/TFRS uyarınca enflasyon muhasebesine göre düzeltilmiş bilançolarımızda oluşan, Dönem Net Kârından ilgili yasal düzenlemeler çerçevesinde mahsup işlemleri sonrası, Şirketimizin Kar Dağıtımına konu olan herhangi bir tutar bulunmadığı dikkate alınarak 2023 yılına ilişkin kar dağıtımı yapılamayacağı hususunun 2023 Yılı Olağan Genel Kurulda ortakların onayına sunulmasına,
