Additional Explanations

Şirketimiz Yönetim Kurulu'nun 2 Mayıs 2024 tarihli toplantısında, Şirketimizin 2023 yılı faaliyetlerinden elde etmiş olduğu net dönem kârından;

- Türk Ticaret Kanunu'nun 519/(1) maddesi ve Şirket esas sözleşmesinin 17. maddesi gereği Genel Kanuni Yedek Akçe bakiyesinin sermayenin %20'sini geçmesi nedeniyle 2023 yılı karından Genel Kanuni Yedek Akçe ayrılmamasına,

- Sermaye Piyasası Kurulu'nun kâr dağıtımı ile ilgili düzenlemeleri ve kararları çerçevesinde hesaplanan net dağıtılabilir kârın brüt 150.000.000,00 TL'lik (1 TL'lik pay başına 0,625000 TL, çıkarılmış sermaye üzerinden brüt %62,5000) kısmının, (net 135.000.000,00 TL - 1 TL'lik pay başına 0,5625 TL, çıkarılmış sermaye üzerinden net %56,2500) nakit kâr payı olarak ortaklara dağıtılmasına,

- Türk Ticaret Kanunu'nun 519/(2) maddesi gereğince 13.800.000,00 TL Genel Kanuni Yedek Akçe ayrılmasına,

- Kalan kârın Olağanüstü Yedek Akçe olarak ayrılmasına,

- Yönetim Kurulumuzun kâr payı dağıtım önerisinin ilk yapılacak Genel Kurulumuz'da onaya sunulmasına,

- Kar payı ödemesi tarihinin genel kurulca belirlenmesine,

- İşbu kar dağıtım önerisine ilişkin kararımızın ve Sermaye Piyasası Kurulu kararları çerçevesinde hazırlanan 2023 yılı Kar Dağıtım Tablosu'nun kamuya açıklanmasına, karar verilmiş olup 30.05.2024 tarihinde yapılan 2023 yılı Olağan Genel Kurul Toplantısı sonucunda okunmuş olan karar teklifi ve Toplantı Başkanlığı'na verilen nakit temettü ödeme tarihinin 2 Temmuz 2024 ve 10 Eylül 2024 tarihleri olmak üzere iki eşit taksitte ödenmesi yönündeki önerge oylamaya sunuldu, önergenin kabulüne mevcudun oy birliğiyle ile karar verildi.
