Additional Explanations

According to the financial statements prepared by our company in accordance with the Capital Markets Board's Communiqué on the Principles of Financial Reporting in Capital Markets No. II-14.1, and audited by Akademik Bağımsız Denetim A.Ş., a net profit of 364,675,605 TL after tax was achieved for the accounting period of 01.01.2023-31.12.2023, taking into account "Deferred Tax Income" and "Period Tax Expense" together. According to our financial statements prepared in accordance with the relevant provisions of the Turkish Commercial Code and the Tax Procedure Law No. 213 (VUK), a net profit of 220,680,630 TL after tax was achieved.

In the Board of Directors meeting held on 29.05.2024, it was unanimously decided to propose at the 2023 Ordinary General Assembly not to distribute dividends from the 2023 profit, in order to use the profits for upcoming investment expenditures and to maintain the financial strength of our company. At the Ordinary General Assembly meeting held on 24.04.2024, based on the proposal submitted by our Board of Directors to the General Assembly, it was unanimously decided not to distribute dividends from the 2023 profit in order to use the profits for upcoming investment expenditures and to maintain the financial strength of our company.
