Communication of change in share capital and voting rights

(pursuant to Article 85-bis, Consob Regulation no. 11971 of 14 May 1999)

Italgas S.p.A. announces the new composition of the share capital (fully subscribed and paid up), following the execution on 24 June 2025 of the share capital increase for payment resolved by the Extraordinary Shareholders' Meeting of 10 April 2025 for a maximum total amount of 1,020 million euros (including any share premium), through the issue of ordinary shares with no par value, to be offered as an option to the Company's shareholders in proportion to the number of shares held pursuant to Article 2441, paragraph 1, of the Civil Code to be released in cash.

The capital increase was executed on June 24, 2025, following the resolution of the Board of Directors on May 28, 2025, through the issue of 202,938,478 new ordinary shares of the Company (ISIN IT0005211237), with no express par value, for an aggregate amount, rounded to the second decimal place, of Euro 1,019,968,790.43.

The updated text of the Bylaws, containing the certification of the change in share capital, was registered with the Milan-Monza-Brianza-Lodi Companies Register on 3 July 2025.
