Styret i BerGenBio ASA ("**Selskapet**") innkaller herved aksjeeierne til ekstraordinær generalforsamling.

Generalforsamlingen vil avholdes digitalt og uten fysisk oppmøte. Aksjeeiere vil bli gitt anledning til å følge møtet og stille spørsmål gjennom Lumi AGM. Nærmere informasjon om deltakelse er inntatt nederst i innkallingen og i Vedlegg 1.

All informasjon om gjennomføring av generalforsamlingen samt alle dokumenter som skal behandles på generalforsamlingen, er tilgjengelig på Selskapets hjemmeside:

Generalforsamlingen vil åpnes av styrets leder Anders Lennart Tullgren, eller av den styret har utpekt. Møteåpner vil opprette fortegnelse over møtende aksjeeiere og fullmakter.

The board of directors of BerGenBio ASA (the "**Company**") hereby calls the shareholders to an extraordinary general meeting.

**Tid:** 4. august 2025 kl. 12.00. **Time:** 4 August 2025 at 12:00 hours (CEST).

**Sted:** Digital via Lumi AGM. **Place:** Digital via Lumi AGM.

The general meeting will be held digitally and without physical attendance. The shareholders will be given possibility to follow the meeting and raise questions through Lumi AGM. Further information on participation is included below and in Appendix 1.

All information regarding the procedure of the general meeting and all documents that will be considered at the general meeting, are available on the Company's website:

The general meeting will be opened by the chair of the board of directors, Anders Lennart Tullgren, or by the person appointed by the board of directors. The person opening the meeting will record attendance of present shareholders and proxies.

The board of directors of the Company proposes the following agenda for the general meeting:

Styret foreslår at Jan Brudvik, advokat i Advokatfirmaet Thommessen AS, velges som møteleder.

## **2 VALG AV ÉN PERSON TIL Å MEDUNDERTEGNE PROTOKOLLEN**

Styret foreslår at en person som deltar på generalforsamlingen velges til å medundertegne protokollen.

## **3 GODKJENNING AV INNKALLING OG DAGSORDEN**

Styret foreslår at generalforsamlingen treffer følgende vedtak:

### **4.1 Introduksjon 4.1 Introduction**

Den 3. juni 2025 kunngjorde Selskapet sin beslutning om å avslutte all gjenværende utviklingsaktivitet for bemcentinib, som følge av begrenset økonomisk grunnlag for å fortsette videre aktivitet. Som følge av dette utforsket styret strategiske alternativer, og engasjerte i den forbindelse DNB Carnegie, en del av DNB Bank ASA, som finansiell rådgiver.

Selskapets styre, har i fellesskap med styret i Oncoinvent ASA, org.nr. 995 764 458 ("**Oncoinvent**"), og styret i Selskapets heleide datterselskap Athomstart Invest 1056 AS (under navneendring til BerGenBio Norge AS), org.nr. 935 506 220 ("**BerGenBio Norge**"), utarbeidet en fusjonsplan for trekantfusjonen mellom Selskapet, BerGenBio Norge og Oncoinvent, med Oncoinvent som overdragende selskap, BerGenBio Norge som overtakende selskap, og med utstedelse av vederlagsaksjer i Selskapet til aksjonærene i Oncoinvent, i samsvar med reglene om

# **1 VALG AV MØTELEDER 1 ELECTION OF A CHAIRPERSON OF THE MEETING**

The board of directors proposes that Jan Brudvik, lawyer at Advokatfirmaet Thommessen AS, is elected to chair the meeting.

## **2 ELECTION OF A PERSON TO CO-SIGN THE MINUTES**

The board of directors proposes that a person participating at the general meeting is elected to cosign the minutes.

### **3 APPROVAL OF THE NOTICE AND AGENDA**

The board of directors proposes that the general meeting passes the following resolution:

## **4 FUSJON 4 MERGER**

On 3 June 2025, the Company announced its decision to discontinue all remaining development activity for bemcentinib, as there is limited financial justification to pursue further activity. As a result, the board of directors explored strategic alternatives and in that connection engaged DNB Carnegie, a part of DNB Bank ASA, as financial advisor.

The Company's board of directors has, together with the board of directors of Oncoinvent ASA, reg. no. 995 764 458 ("**Oncoinvent**"), and the board of directors of the Company's wholly-owned subsidiary Athomstart Invest 1056 AS (under name change to BerGenBio Norge AS), reg. no. 935 506 220 ("**BerGenBio Norge**"), prepared a merger plan for the triangular merger between the Company, BerGenBio Norge and Oncoinvent, with Oncoinvent as the transferor, BerGenBio Norge as the transferee company, and with issuance of consideration shares in the Company to the shareholders of Oncoinvent, in accordance with

trekantfusjoner i allmennaksjeloven § 13-2 (2) ("**Fusjonen**").

Ved gjennomføring av Fusjonen vil BerGenBio Norge overta samtlige eiendeler, rettigheter og forpliktelser i Oncoinvent, mens aksjonærene i Oncoinvent mottar vederlagsaksjer i Selskapet basert på vederlagsmekanismen beskrevet i fusjonsplanen. Oncoinvent vil bli oppløst ved gjennomføring av Fusjonen.

Oncoinvent og Selskapet er komplementære, og Fusjonen tar sikte på å realisere synergier gjennom en mer effektiv utnyttelse av selskapenes felles ressurser.

Som fusjonsvederlag mottar aksjeeierne i Oncoinvent opp til 117.544.012 aksjer i Selskapet, dvs. 1,202680493545220 aksjer i Selskapet for hver aksje de eier i Oncoinvent ("**Fusjonsaksjer**"), rundet ned til nærmeste hele Fusjonsaksje. Det betyr at aksjeeierne i Oncoinvent får en samlet eierandel på ca. 75 % i Selskapet umiddelbart etter gjennomføring av Fusjonen.

Bytteforholdet er beregnet basert på forhandlinger mellom Partene, hvor Partene er enige om en egenkapitalverdi av Oncoinvent på NOK 195.486.686 og en egenkapitalverdi av Selskapet på NOK 65 millioner.

Ved gjennomføring av Fusjonen skal tegningsbeløpet for Fusjonsaksjene gjøres opp ved at BerGenBio Norge utsteder en fordring til Selskapet i henhold til allmennaksjeloven § 13-2 (2) annet punktum ("**Fusjonsfordringen**"). Pålydende verdi av Fusjonsfordringen er NOK 195.486.686, som tilsvarer virkelig verdi av de eiendeler, rettigheter og forpliktelser som tilføres BerGenBio Norge ved Fusjonen. Fordringens skattemessige inngangsverdi vil være lik Fusjonsfordringens pålydende. Fusjonsfordringen står tilbake for øvrige kreditorer.

the rules on triangular mergers in Section 13-2 (2) of the Norwegian Public Limited Liability Companies Act (the "**Public Companies Act**") (the "**Merger**").

Upon completion of the Merger, BerGenBio Norge will assume all assets, rights and obligations of Oncoinvent, while the shareholders of Oncoinvent will receive consideration shares in the Company based on the consideration mechanism described in the merger plan. Oncoinvent will be dissolved upon completion of the Merger.

The businesses of Oncoinvent and the Company are complementary, and the Merger aims to realise synergies through more efficient utilisation of the companies' combined resources.

As merger consideration the shareholders of Oncoinvent shall receive up to a total of 117,544,012 shares in the Company, i.e. 1.202680493545220 shares in the Company for each share they own in Oncoinvent ("**Merger Shares**"), rounded down to the nearest whole Merger Share. This means that the shareholders of Oncoinvent will have a total ownership interest of approx. 75% in the Company immediately after the completion of the Merger.

The exchange ratio is calculated based on negotiations between the Parties and on a fully diluted basis, where the Parties agree an equity value of Oncoinvent of NOK 195,486,686 and an equity value of the Company of NOK 65 million.

Upon completion of the Merger, the subscription amount for the Merger Shares shall be settled by BerGenBio Norge issuing a receivable to the Company in accordance with Section 13-2 (2) second sentence of the Public Limited Liability Companies Act (the "**Merger Receivable**"). The nominal value of the Merger Receivable is NOK 195,486,686, which corresponds to the real value of the assets, rights and obligations transferred to BerGenBio Norge through the Merger. The tax basis of the Merger Receivable will be equal to the nominal value of the Merger Receivable. The Merger Receivable is subordinated to other creditors.

Fusjonsfordringen er nærmere beskrevet i den sakkyndige redegjørelsen fra Ernst & Young AS gjort tilgjengelig på Selskapets nettside.

Brøkdeler av aksjer tildeles ikke. For hver aksjeeier foretas en avrunding ned til nærmeste hele Fusjonsaksje. Overskytende Fusjonsaksjer som grunnet denne avrunding ikke blir tildelt aksjeeierne i Oncoinvent, vil utstedes til og selges av DNB Carnegie, en del av DNB Bank ASA. Salgsprovenyet gis til Selskapet, som står fritt til å donere salgsprovenyet til et veldedig formål.

Bare aksjeeiere i Oncoinvent som er ikkeamerikanske, som definert av Regulation S av U.S. Securities Act eller «accredited investors» som definert i Regulation D av U.S. Securites Act ("**Kvalifisert Aksjeeier**"), er kvalifisert til å motta aksjer i Selskapet som fusjonsvederlag. Enhver aksjeeier i Oncoinvent som ikke er en Kvalifisert Aksjeeier vil motta oppgjør i kontanter etter salg av de vederlagsaksjene i Selskapet som de ellers ville vært berettiget til å motta. Slike aksjeeiere vil også motta kontanter for brøkdeler av vederlagsaksjer.

Etter Fusjonen vil Selskapets aksjer fortsatt være tatt opp til handel på Euronext Oslo Børs eller Euronext Expand.

I tillegg har styrene i Selskapet og BerGenBio Norge, i henhold til allmennaksjeloven § 13-9, utarbeidet en fusjonsrapport. ### **4.2 Godkjennelse av fusjonsplan 4.2 Approval of the merger plan**

På ovennevnte bakgrunn foreslår styret at generalforsamlingen treffer følgende vedtak:

The Merger Receivable is further described in the expert report from Ernst & Young AS made available on the Company's website.

Fractions of shares will not be allotted. For each shareholder the Merger Shares will be rounded down to each whole Merger Share. Excess Merger Shares, which as a result of this rounding down will not be allotted to the shareholders in Oncoinvent, will be issued to and sold by DNB Carnegie, a part of DNB Bank ASA. The sales proceeds will be given to the Company, which is free to donate the sales proceeds to charity.

Only shareholders of Oncoinvent that are non-U.S. persons as defined in regulation S of the U.S. Securities Act or "accredited investors" as defined in Regulation D of the U.S. Securities Act ("**Eligible Shareholder**") are eligible to receive shares as merger consideration. Any shareholder in Oncoinvent who is not an Eligible Shareholder will receive a cash settlement following a sale of such consideration shares as they would otherwise be entitled to receive. Such shareholders will also receive cash for fractions of consideration shares.

Following the Merger, the Company's shares will continue to be traded on Euronext Oslo Børs or Euronext Expand.

For further information regarding the Merger and the background, reference is made to the merger plan (with appendices). In addition, the boards of directors of the Company and BerGenBio Norge have, in accordance with Section 13-9 of the Public Companies Act, prepared a merger report. On the above background, the board of directors proposes that the general meeting passes the following resolution:

*(i) Fusjonsplanen (med vedlegg) datert 30. juni 2025, inngått mellom Oncoinvent ASA (org.nr. 995 764 458) som overdragende selskap, Athomstart Invest 1056 AS (under navneendring til BerGenBio Norge AS) ("BerGenBio Norge") (org.nr. 935 506 220) som overtakende selskap, med utstedelse av vederlagsaksjer i BerGenBio ASA (org.nr. 992 219 688), godkjennes og fusjonen skal gjennomføres i henhold til fusjonsplanen.*

## **4.3 Kapitalforhøyelse i forbindelse med Fusjonen**

På ovennevnte bakgrunn foreslår styret at generalforsamlingen treffer følgende vedtak om kapitalforhøyelse:

- *(i) Aksjekapitalen i BerGenBio ASA forhøyes med NOK 117.554.012 ved utstedelse av 117.554.012 aksjer, hver pålydende NOK 1.*
- *(ii) Aksjene utstedes til aksjeeierne i Oncoinvent ASA som angitt i Oncoinvent ASA sitt aksjeeierregister i Euronext Securities Oslo (ES-OSL) 2 handelsdager etter at fusjonen er gjennomført, i henhold til normal oppgjørssyklus i Euronext Securities Oslo (T+2), og skal anses tegnet ved at generalforsamlingen i Oncoinvent ASA godkjenner fusjonsplanen datert 30. juni 2025 og inngått mellom BerGenBio ASA, Oncoinvent ASA og BerGenBio Norge AS ("Fusjonsplanen"). Vederlagsaksjer i fusjonen til en aksjeeier som ikke er en Kvalifisert Aksjeeier (slik som definert i Fusjonsplanen) skal utstedes til DNB Carnegie, en del av DNB Bank ASA, som vil selge vederlagsaksjene og fordele salgsprovenyet forholdsmessig mellom de berettigede. Vederlagsaksjer som er overskytende grunnet nedrunding skal også utstedes til DNB Carnegie, en del av DNB Bank ASA, som vil selge aksjene og tildele salgsprovenyet til BerGenBio ASA.*

*(i) The merger plan (with appendices) dated 30 June 2025 entered into between Oncoinvent ASA (reg. no. 995 764 458) as the transferor company, Athomstart Invest 1056 AS (under name change to BerGenBio Norge AS) ("BerGenBio Norge") (reg. no 935 506 220) as the transferee company, with issue of consideration shares in BerGenBio ASA (reg. no. 992 219 688), is approved and the merger shall be carried out in accordance with the merger plan.*

# **4.3 Share capital increase in connection with the Merger**

On the above background, the board of directors proposes that the general meeting passes the following resolution on share capital increase:

- *(i) The share capital in BerGenBio ASA is increased by NOK 117,554,012 by the issuance of 117,554,012 shares, each with a nominal value of NOK 1.*
- *(ii) The shares are issued to the shareholders of Oncoinvent ASA as recorded in Oncoinvent ASA's shareholder register in Euronext Securities Oslo (ES-OSL) 2 trading days after the merger is completed, in accordance with the normal settlement cycle in Euronext Securities Oslo (T+2), and shall be deemed to have been subscribed for by way of the general meeting of Oncoinvent ASA approving the merger plan dated 30 June 2025 and made by and among BerGenBio ASA, Oncoinvent ASA and BerGenBio Norge AS (the "Merger Plan"). Consideration shares in the merger for a shareholder who is not an Eligible Shareholder (as defined in the Merger Plan) will be issued to DNB Carnegie, a part of DNB Bank ASA, which will sell the consideration shares and distribute the sales proceeds proportionally among the beneficiaries. Consideration shares which are excess due to rounding down shall also be issued to DNB Carnegie, a part of DNB Bank*

- *(iii) Det skal betales NOK 1,662952056455550 per aksje, slik at samlet aksjeinnskudd for aksjene blir NOK 195.486.686, hvorav NOK 117.554.012 utgjør aksjekapital og NOK 77.932.674 er overkurs.*
- *(iv) Tegningsbeløpet gjøres opp ved at BerGenBio Norge AS utsteder en fordring til BerGenBio ASA ved gjennomføring av fusjonen jf. allmennaksjeloven § 13-2 (2) annet punktum. Pålydende verdi på fordringen er NOK 195.486.686, som tilsvarer virkelig verdi av de eiendeler, rettigheter og forpliktelser som tilføres BerGenBio Norge AS ved fusjonen.*
- *(v) Tingsinnskuddet er nærmere beskrevet i den sakkyndige redegjørelsen fra Ernst & Young AS gjort tilgjengelig på BerGenBio ASAs nettside.*
- *(vi) De nye aksjene gir rett til utbytte og andre aksjonærrettigheter i BerGenBio ASA fra det tidspunkt fusjonen er registrert i Foretaksregisteret.*
- *(vii) Utgiftene forbundet med kapitalforhøyelsen er estimert til å være NOK 450.000.*
- *(viii) BerGenBio ASAs vedtekter § 4 endres til å reflektere den nye aksjekapitalen og det nye antall aksjer etter kapitalforhøyelsen.*
- *(ix) Vedtaket er betinget av gjennomføring av fusjonen.*

- *(iii) The subscription price is NOK 1,662952056455550 per share, such that the total subscription amount is NOK 195,486,686, of which NOK 117,554,012 constitutes share capital and NOK 77,932,674 is share premium.*
- *(iv) The subscription amount will be settled by BerGenBio Norge AS issuing a receivable to BerGenBio ASA upon the completion of the merger, cf. Section 13-2 (2) second sentence of the Norwegian Public Limited Liability Companies Act. The nominal value of the receivable is NOK 195,486,686, which corresponds to the real value of the assets, rights and obligations contributed to BerGenBio Norge AS in the merger.*
- *(v) The contribution in kind is further described in the expert report from Ernst & Young AS made available on BerGenBio ASA's website.*
- *(vi) The new shares shall qualify for dividends and other shareholder rights in BerGenBio ASA from the date of registration of the merger in the Norwegian Register of Business Enterprises.*

*(vii) The expenses associated with the share capital increase are estimated to be NOK 450,000.*

- *(viii) Section 4 of BerGenBio ASA's articles of association will be amended to reflect the new share capital and the new number of shares following the share capital increase.*
- *(ix) The resolution is subject to the completion of the merger.*

I forbindelse med Fusjonen (nærmere beskrevet i punkt 4 ovenfor), er det foreslått at Charles Gillies O'Bryan-Tear (styreleder), Olav Hellebø, Ingrid Teigland Akay, Kari Grønås, Hilde Steineger, Orlando De Oliveira og Johan Häggblad velges som styremedlemmer for perioden frem til den ordinære generalforsamlingen i 2027, forutsatt gjennomføring av Fusjonen. Videre er det foreslått at Markus Dietrich velges som observatør til styret for samme periode.

Det foreslås at generalforsamlingen stemmer separat over hvert foreslåtte medlem. I tråd med valgkomiteens innstilling foreslår styret at generalforsamlingen treffer følgende vedtak:

- *(i) Charles Gillies O'Bryan-Tear velges som styreleder for perioden frem til ordinær generalforsamling i 2027.*
- *(ii) Olav Hellebø velges som styremedlem for perioden frem til ordinær generalforsamling i 2027.*
- *(iii) Ingrid Teigland Akay velges som styremedlem for perioden frem til ordinær generalforsamling i 2027.*
- *(iv) Kari Grønås velges som styremedlem for perioden frem til ordinær generalforsamling i 2027.*
- *(v) Hilde Steineger velges som styremedlem for perioden frem til ordinær generalforsamling i 2027.*
- *(vi) Orlando De Oliveira velges som styremedlem for perioden frem til ordinær generalforsamling i 2027.*
- *(vii) Johan Häggblad velges som styremedlem for perioden frem til ordinær generalforsamling i 2027.*

### **5 VALG AV NYTT STYRE 5 ELECTION OF NEW BOARD OF DIRECTORS**

Reference is made to the recommendation from the nomination committee made available at [https://www.bergenbio.com/investors.](https://www.bergenbio.com/investors)

In connection with the Merger (as further described in item 4 above), it has been proposed that Charles Gillies O'Bryan-Tear (chairperson), Olav Hellebø, Ingrid Teigland Akay, Kari Grønås, Hilde Steineger, Orlando De Oliveira and Johan Häggblad are elected as board members for the term until the annual general meeting in 2027, subject to completion of the Merger. Further, it is proposed that Markus Dietrich is elected as observer to the board of directors for the same period.

It is proposed that the general meeting votes separately over each proposed member. In accordance with the recommendation from the nomination committee. the board of directors proposes that the general meeting adopts the following resolution:

*(i) Charles Gillies O'Bryan-Tear is elected as the chairperson of the board of directors for the period until the annual general meeting in 2027.*

*(ii) Olav Hellebø is elected as a board member for the period until the annual general meeting in 2027.*

*(iii) Ingrid Teigland Akay is elected as a board member for the period until the annual general meeting in 2027.*

*(iv) Kari Grønås is elected as a board member for the period until the annual general meeting in 2027.*

*(v) Hilde Steineger is elected as a board member for the period until the annual general meeting in 2027.*

*(vi) Orlando De Oliveira is elected as a board member for the period until the annual general meeting in 2027.*

*(vii) Johan Häggblad is elected as a board member for the period until the annual general meeting in 2027.*

*(viii) Markus Dietrich velges som observatør til styret for perioden frem til ordinær generalforsamling i 2027.*

Etter valget vil Selskapets styre bestå av følgende aksjonærvalgte medlemmer:

- Markus Dietrich (styreobservatør) Markus Dietrich (board observer)

Dette vedtaket om valg av nye styremedlemmer og styreobservatør er betinget av at, og skal tre i kraft fra det tidspunkt, Fusjonen registreres som gjennomført i Foretaksregisteret.

**6 GODKJENNING AV GODTGJØRELSE TIL MEDLEMMER AV STYRET, KOMPENSASJONSUTVALGET OG REVISJONSUTVALGET** 

Det vises til innstilling fra valgkomiteen, for godtgjørelsen til styret fra tidspunktet for gjennomføringen av Fusjonen, tilgjengelig på Selskapets hjemmeside [https://www.bergenbio.com/investors.](https://www.bergenbio.com/investors) 

Godtgjørelsen til det eksisterende styret vil forbli uendret frem til gjennomføringen av Fusjonen, justert for faktisk tjenestetid.

Styret foreslår at generalforsamlingen treffer vedtak i henhold til valgkomiteens innstilling.

*(viii) Markus Dietrich is elected as observer to the board for the period until the annual general meeting in 2027.*

This resolution to elect new board members and a board observer is conditional upon, and shall be effective from such time as, the Merger is registered as completed with the Norwegian Register of Business Enterprises.

# **9 ENDRING AV FORETAKSNAVN TIL ONCOINVENT ASA OG ANDRE VEDTEKTSENDRINGER**

Styret foreslår for generalforsamlingen å endre Selskapets foretaksnavn fra BerGenBio ASA til Oncoinvent ASA med virkning fra tidspunktet Fusjonen er registrert som gjennomført i Foretaksregisteret. Endring av Selskapets foretaksnavn er en naturlig forlengelse av Fusjonen. En sentral strategisk prioritering for Selskapet er å "operere enhetlig" for å underbygge strategisk, operasjonell, kommersiell, finansiell og kulturell samordning. I denne sammenheng foreslås det også å gjøre enkelte andre endringer i vedtektene, og at oppdaterte vedtekter, som gjort tilgjengelig på Selskapets hjemmeside, trer i kraft fra samme tidspunkt som navneendringen.

Styret foreslår at generalforsamlingen treffer følgende beslutning:

*Generalforsamlingen godkjenner at Selskapets navn endres fra BerGenBio ASA til Oncoinvent ASA med virkning fra tidspunktet fusjonen er registrert som gjennomført i Foretaksregisteret, samt å endre vedtektenes § 1 til å lyde som følger fra samme tidspunkt:*

# **9 CHANGE OF COMPANY NAME TO ONCOINVENT ASA AND OTHER AMENDMENTS TO THE ARTICLES OF ASSOCIATION**

The board of directors proposes to the general meeting a change of the Company's name from BerGenBio ASA to Oncoinvent ASA with effect from the time the Merger is registered as completed with the Norwegian Register of Business Enterprises. Changing the Company's name is a natural extension of the Merger. A key strategic priority for the Company is to "operate as one" to underpin strategic, operational, commercial, financial, and cultural alignment. In connection with this, it is also proposed that certain other changes to the articles of association are made, and that updated articles of association, as made available on the Company's website, enter into force from the same time as the name change.

The board of directors proposes that the general meeting adopts the following resolution:

*The general meeting approves that the Company's name is changed from BerGenBio ASA to Oncoinvent ASA with effect from the time the merger is registered as completed with the Norwegian Register of Business Enterprises, and to amend section 1 of the Company's articles of association to read as follows from the same time:*

*"Selskapets navn er Oncoinvent ASA. Selskapet er et allmennaksjeselskap."*

# **10 KAPITALFORHØYELSE I FORBINDELSE MED FORTRINNSRETTSEMISJON**

For å styrke det fusjonerte Selskapets egenkapital og likviditet, foreslår styret at generalforsamlingen beslutter å forhøye Selskapets aksjekapital gjennom en garantert fortrinnsrettsemisjon med et samlet bruttoproveny på ca. NOK 130 millioner ("**Fortrinnsrettsemisjonen**").

Nettoprovenyet fra Fortrinnsrettsemisjonen sammen med eksisterende kontantbeholdning, forventes å finansiere Selskapet inn i 2027, og vil benyttes til generelle selskapsrettslige formål.

DNB Carnegie, en del av DNB Bank ASA, og ABG Sundal Collier ASA er engasjert som tilretteleggere i Fortrinnsrettsemisjonen ("**Tilretteleggerne**").

Fulltegning av Fortrinnsrettsemisjonen er sikret ved at eksisterende aksjeeiere i Oncoinvent og Selskapet, samt nye investorer, som gjort tilgjengelig på Selskapets nettside ("**Garantistene**"), i henhold til garantiavtaler med Selskapet datert 30. juni 2025 ("**Garantiavtalene**") har garantert for tegning av den delen av Fortrinnsrettsemisjonen som ikke tegnes i tegningsperioden.

Meteva AS, som representerer ca. 23 % av aksjene og ca. 23 % av stemmene i Selskapet har forpliktet seg til å stemme for Fortrinnsrettsemisjonen på den ekstraordinære generalforsamlingen. I tillegg har *"The company's name is Oncoinvent ASA. The company is a public limited liability company."*

This resolution to change the Company's name and amend the articles of association is conditional upon, and shall be effective from such time as, the Merger is registered as completed with the Norwegian Register of Business Enterprises.

# **10 SHARE CAPITAL INCREASE IN CONNECTION WITH A RIGHTS ISSUE**

### **10.1 Bakgrunn 10.1 Background**

To strengthen the merged Company's equity and cash position, the board of directors proposes that the general meeting resolves to increase the Company's share capital, by way of an underwritten rights issue, with total gross proceeds of approximately NOK 130 million (the "**Rights Issue**")

The net proceeds from the Rights Issue, along with the existing cash reserves, are expected to provide runway to the Company into 2027, and will be used for general corporate purposes.

DNB Carnegie, a part of DNB Bank ASA, and ABG Sundal Collier ASA have been engaged as managers in the Rights Issue (the "**Managers**").

Full subscription of the Rights Issue is secured by certain existing shareholders of Oncoinvent and the Company, in addition to new investors, as made available on the Company's website (the "**Underwriters**"), in accordance with underwriting agreements entered into with the Company dated 30 June 2025 (the "**Underwriting Agreements**"), have underwritten for the portion of the Rights Issue that is not subscribed for in the subscription period.

Meteva AS, representing approx. 23% of the shares and approx. 23% of the votes in the Company, has undertaken to vote in favour of the Rights Issue at the extraordinary general meeting. In addition, Meteva

Meteva AS, samt Garantistene forpliktet seg til å stemme for eventuelle ytterligere vedtak som måtte bli nødvendige for å gjennomføre Fortrinnsrettsemisjonen, på en etterfølgende ekstraordinær generalforsamling etter gjennomføring av Fusjonen.

Garantistene har rett til et honorar tilsvarende 12 % av deres respektive garantiforpliktelse, som skal gjøres opp i form av nye aksjer i Selskapet som utstedes til den samme tegningskursen som i Fortrinnsrettsemisjonen. Dersom det før gjennomføring av Fusjonen blir klart at Fortrinnsrettsemisjonen ikke vil bli gjennomført, vil honorar til Garantistene deles med 25 % på Selskapet og 75 % på Oncoinvent.

Etter allmennaksjeloven § 10-4 har Selskapets aksjeeiere fortrinnsrett til å tegne og få tildelt nye aksjer i samme forhold som de eier aksjer i Selskapet på en dato som ikke kan settes tidligere enn datoen kapitalforhøyelsen besluttes. Selskapets aksjeeiere på den første handelsdagen på Euronext Oslo Børs (alternativt Euronext Expand) etter at Fusjonen er registrert gjennomført i Foretaksregisteret ("**Tegningsrett-datoen** ") vil i tråd med styrets forslag motta tegningsrettigheter i henhold til deres eksisterende aksjeinnehav som registrert i Selskapets aksjeeierregister ved utløpet av Tegningsrett-datoen, som registrert i ES-OSL to handelsdager deretter ("**Registreringsdatoen**"). Forutsatt at kjøp av aksjer skjer med ordinært T+2 oppgjør, vil aksjer kjøpt til og med Ex Datoen gi rett til å motta tegningsretter, mens aksjer kjøpt fra og med handelsdagen etter Tegningsrett-datoen ikke vil gi rett til å motta tegningsretter. Med forbehold om at Fusjonen gjennomføres i henhold til den nåværende tidsplanen forventes Tegningsrett-datoen å være 19. september 2025. Tegningsrettene forventes å være omsettelige og notert på Oslo Børs fra og med første dag i tegningsperioden og frem til kl. 16.30 fire handelsdager før utløpet av tegningsperioden. Overtegning og tegning uten tegningsretter vil være tillatt.

AS, along with the Guarantors, has undertaken to vote in favour of any additional resolutions that may become necessary to implement the Rights Issue, at a subsequent extraordinary general meeting following completion of the Merger.

The Underwriters are entitled to a fee equal to 12% of their respective underwriting commitment, which shall be settled in the form of new shares in the Company which are issued at the same subscription price as in the Rights Issue. If it prior to the completion of the Merger becomes clear that the Rights Issue will not be completed, the fee to the Underwriters will be shared with 25% to the Company and 75% to Oncoinvent ASA.

Pursuant to Section 10-4 of the Norwegian Public Limited Liability Company Act, the shareholders have a preferential right to subscribe for and be allocated new shares in proportion to the number of shares they own in the Company as at a date that cannot be set earlier than the date of the resolution of the share capital increase. The Company's shareholders on the first trading day on Euronext Oslo Børs (alternatively Euronext Expand) after the Merger has been registered as completed with the Norwegian Register of Business Enterprises (the "**Subscription Rights Date**") will according to the board of directors' proposal receive subscription rights in proportion to their existing shareholding as registered in the Company's shareholder register at the expiry of the Subscription Rights Date (as registered in the ES-OSL two trading days thereafter) (the "**Record Date**"). Provided that a purchase of shares is made with ordinary T+2 settlement, shares purchased up to and including the Subscription Rights Date will give the right to receive subscription rights, whereas shares purchased from and including the trading day after the Subscription Rights Date, will not give the right to receive subscription rights. Subject to completion of the Merger in accordance with the current timeline, the Subscription Rights Date is expected to be 19 September 2025. The subscription rights are expected to be tradable and listed on Euronext Oslo Børs from and including the first day of the

Dersom tegningskursen fastsettes til et lavere beløp enn nåværende pålydende på NOK 1,00 per aksje, vil det bli nødvendig å gjennomføre en aksjekapitalnedsettelse for å redusere pålydende på Selskapets aksjer slik at de nye aksjene kan tegnes til den fastsatte tegningskursen. Det vil da bli innkalt til en ny ekstraordinær generalforsamling for å vedta kapitalnedsettelsen og, om nødvendig, en justert versjon av vedtaket for Fortrinnsrettsemisjonen. Tegningskursen skal i henhold til Garantiavtalene ikke settes lavere enn den minimale pålydende verdien som kan fastsettes på aksjene i Selskapet dersom nevnte kapitalnedsettelse skal kunne gjennomføres uten kreditorvarsel.

Den endelig tegningskursen, antallet nye aksjer og tegningsretter per eksisterende aksje vil bli offentliggjort i en børsmelding når dette er fastsatt.

I forbindelse med Fortrinnsrettsemisjonen og noteringen av de nye aksjene vil det bli utarbeidet et prospekt som skal godkjennes av Finanstilsynet. Prospektet vil bli offentliggjort før tegningsperioden begynner og vil utgjøre tegningsgrunnlaget for subscription period and until 16:30 hours (CEST) four trading days prior to the expiry of the subscription period. Over-subscription and subscription without subscription rights will be permitted.

The subscription price for the new shares to be issued in the Rights Issue, and thus the final number of new shares and the exact amount of the share capital increase will, in accordance with the Underwriting Agreements, be fixed on the date falling 10 trading days on Euronext Oslo Børs after the first trading day on Euronext Oslo Børs (alternatively Euronext Expand) for the shares of the merged Company following completion of the Merger the ("**Pricing Date**"), and so that the Subscription Price will be fixed equal to the theoretical share price exclusive of the subscription rights (TERP) based on the volume weighted average price (VWAP) of the shares of the merged Company on Euronext Oslo Børs (alternatively Euronext Expand) the last three trading days before the Pricing Date with a discount of 35%. If the subscription price is set at a lower amount than the current nominal value of NOK 1, it will be necessary to reduce the nominal value of the shares in the Company such that the new shares may be subscribed at the determined subscription price. A new extraordinary general meeting will be summoned to resolve the share capital reduction and, if necessary, an adjusted version of the resolution for the Rights Issue. The subscription price shall in accordance with the Underwriting Agreements not be lower than the nominal value that can be set on the shares in the Company if the aforementioned share capital reduction shall be completed without creditor notification.

The final subscription price, the number of new shares and subscription right per existing share will be announced through a stock exchange announcement when determined.

In connection with the Rights Issue and the listing of the new shares, a prospectus will be prepared which is subject to the approval by the Norwegian Financial Supervisory Authority. The prospectus will be published prior to the commencement of the

Fortrinnsrettsemisjonen. Forutsatt at Fusjonen er gjennomført i tide, forventes tegningsperioden for Fortrinnsrettsemisjonen å begynne 3. oktober 2025 og avsluttes den 17. oktober 2025 kl. 16.30. Dersom Fusjonen ikke er gjennomført i tide for å opprettholde den forventede tidsplanen knyttet til Fusjonen og Fortrinnsrettsemisjonen, begynner tegningsperioden i Fortrinnsrettsemisjonen den tolvte handelsdagen på Euronext Oslo Børs etter første handelsdag for Fusjonen og avsluttes kl. 16.30 to uker deretter. Dette fordi tegningskursen i Fortrinnsrettsemisjonen først blir fastsatt på den dato som faller 10 handelsdager etter den første handelsdagen på Euronext Oslo Børs (alternativt Euronext Expand) for aksjene i det fusjonerte Selskapet etter gjennomføring av Fusjonen

På ovennevnte bakgrunn, og forutsatt at generalforsamlingen vedtar Fusjonen under agendapunkt 4 og styrefullmakten under agendapunkt 9, foreslår styret at generalforsamlingen treffer følgende vedtak:

- *(i) Aksjekapitalen forhøyes med minimum NOK 43.333.333 og maksimum NOK 130.000.000 ved utstedelse av minimum 43.333.333 og maksimum 764.705.882 nye aksjer, hver pålydende NOK 1 eller det lavere pålydende aksjene vil få som følge av kapitalnedsettelsen omtalt i punkt (xv) nedenfor ("Fortrinnsrettsemisjonen").*
- *(ii) Styret skal fastsette tegningskursen med en nedre grense på NOK 0,17 og en øvre grense på NOK 3 per aksje*
- *(iii) Aksjeeiere i Selskapet per utløpet av den første handelsdagen på Euronext Oslo Børs (alternativt Euronext Expand) for Selskapets aksjer etter at fusjonen i henhold til fusjonsplanen datert 30. juni 2025 og inngått*

subscription period and will form the basis for subscriptions in the Rights Issue. Provided that the Merger is completed in time, it is expected that the subscription period for the Rights Issue will commence on 3 October 2025 and expire on 17 October 2025 at 16:30 hours (CEST). If the Merger is not completed in time to maintain the expected timeline related to the Merger and the Rights Issue, the subscription period for the Rights Issue will commence on the twelfth trading day on Euronext Oslo Børs following the first trading day of the Merger and expire at 16:30 hours (CEST) two weeks thereafter. This is due to the subscription price in the Rights Issue being determined on the date that falls ten trading days after the first trading day on Euronext Oslo Børs (or Euronext Expand) for the shares of the merged company following the completion of the Merger.

## **10.2 Forslag til vedtak om kapitalforhøyelse 10.2 Proposal for the resolution to increase the share capital**

On the basis of the above, and subject to the general meeting resolving the Merger under agenda item 4 and the board authorisation under agenda item 9, the board of directors proposes that the general meeting passes the following resolution:

*(i) The share capital is increased with minimum NOK 43,333,333 and maximum NOK 130,000,000 by the issuance of minimum 43,333,333 and maximum 764,705,882 new shares, each with a nominal value of NOK 1 or the lower nominal value the shares will have as a result of the share capital reduction described in item (xv) below (the "Rights Issue").*

*(ii) The board of directors shall determine the subscription price within a lower limit of NOK 0.17 and an upper limit of NOK 3 per share.*

*(iii) Shareholders of the Company as of the expiry of the first trading day on Euronext Oslo Børs (alternatively Euronext Expand) for the Company's shares after the merger in accordance with the merger plan dated 30*

- *(v) I forbindelse med Fortrinnsrettsemisjonen vil Selskapet utarbeide et prospekt som skal godkjennes av Finanstilsynet. Med mindre styret beslutter noe annet, skal prospektet ikke registreres hos eller godkjennes av noen utenlandsk prospektmyndighet. De nye aksjene kan ikke tegnes av investorer i USA eller i andre jurisdiksjoner der slik tegning ikke er tillatt eller aksjer ikke lovlig kan tilbys til vedkommende uten et prospekt eller tilsvarende dokumentasjon. Selskapet, eller noen som er utnevnt eller instruert av Selskapet, har rett (men ingen plikt) til, for aksjeeiere som er bosatt i USA eller etter Selskapets oppfatning ikke har rett til å tegne nye aksjer på grunn av begrensninger fastsatt i lov eller andre bestemmelser i jurisdiksjonen hvor aksjeeieren er bosatt eller statsborger, å selge den aktuelle aksjeeierens tegningsretter*

*June 2025 and made by and among the Company, Oncoinvent ASA and BerGenBio Norge AS (the "Merger") is completed, as registered as such in the Company's shareholders' register in the Norwegian Central Securities Depository (the "ES-OSL") on the second trading day thereafter (the "Record Date") (cf. the two days' settlement procedure of the ES-OSL) shall have a preferential right to subscribe for and be allocated the new shares in proportion to their shareholding in the Company, cf. - *(iv) Tradeable subscription rights will be issued and the subscription rights shall be registered in the ES-OSL. The subscription rights shall be tradable from and including the first day of the subscription period and until 16:30 (CEST) four trading days prior to the end of the subscription period. Over-subscription and subscription without subscription rights is permitted.*
- *(v) The Company will prepare a prospectus in connection with the Rights Issue, which shall be approved by the Norwegian Financial Supervisory Authority. Unless the board of directors decides otherwise, the prospectus shall not be registered with or approved by any foreign prospectus authority. The new shares may not be subscribed for by an investor resident in the U.S. or in other jurisdictions where such subscription is not permitted or to whom the new shares cannot lawfully be offered without a prospectus or similar documentation. The Company, or anyone appointed or instructed by the Company, shall have the right to (but no obligation), for shareholders who resides in the U.S. or in the Company's opinion are not entitled to subscribe for new shares due to limitations set out in law or other regulations in the jurisdiction where such shareholder is resident or a citizen, sell the relevant*

*(vi) Tegningsperioden vil starte den 3. oktober 2025 og avsluttes kl. 16.30 den 17. oktober 2025. Dersom Fusjonen ikke er gjennomført i tide for å opprettholde den forventede tidsplanen knyttet til Fusjonen og Fortrinnsrettsemisjonen, begynner tegningsperioden i Fortrinnsrettsemisjonen den tolvte handelsdagen på Euronext Oslo Børs etter første handelsdag for Fusjonen og avsluttes kl. 16.30 to uker deretter. Tegningsperioden kan ikke forkortes, men styret kan forlenge tegningsperioden dersom dette er påkrevd ved lov som følge av offentliggjøring av tillegg til prospektet. Tegning av aksjer skal skje på egen tegningsblankett før utløpet av tegningsfristen.*

*(vii) Tegningsbeløpet skal betales kontant. Betaling for de nye aksjene skal skje senest innen 23. oktober 2025, eller innen den tredje handelsdagen på Euronext Oslo Børs (alternativt Euronext Expand) etter tegningsperiodens utløp dersom tegningsperioden utsettes eller forlenges i henhold til avsnitt (vi) ovenfor. Tegnere som har en norsk bankkonto må, og vil ved å signere tegningsblanketten, gi en ugjenkallelig engangsfullmakt til å belaste en spesifisert norsk bankkonto for beløpet som skal betales for aksjene som blir tildelt tegneren. - *(vi) The subscription period shall commence on 3 October 2025 and expire at 16:30 hours (CEST) on 17 October 2025. If the Merger is not completed in time to maintain the expected timeline related to the Merger and the Rights Issue, the subscription period for the Rights Issue will commence on the twelfth trading day on Euronext Oslo Børs following the first trading day of the Merger and expire at 16:30 hours (CEST) two weeks thereafter. The subscription period may not be shortened, but the board of directors may extend the subscription period if this is required by law due to the publication of a supplement prospectus. Subscription for shares shall be made on a separate subscription form prior to the subscription deadline.*
- *(vii) The subscription amount shall be settled by cash payment. Settlement for the new shares shall be made on or prior to 23 October 2025, or the third trading day on Euronext Oslo Børs (alternatively Euronext Expand) after the expiry of the subscription period if the subscription period is postponed according to subparagraph (vi) above. Subscribers who have a Norwegian bank account must, and will by signing the subscription form, give an irrevocable one-time authorisation to debit a specified Norwegian bank account for the amount payable for the shares which are allocated to the subscriber. The amount will be debited from the specified bank account on or around the payment date. Subscribers who do not have a Norwegian bank account must ensure that payment with cleared funds for the new shares allocated to them is received on or before the payment date.*

- *(viii) De nye aksjene tildeles av styret. Følgende tildelingskriterier skal gjelde:*
  - *a. Tildeling av aksjer til tegnere vil bli foretatt i henhold til tildelte og ervervede tegningsretter som er gyldig utøvd i tegningsperioden. Hver tegningsrett vil gi rett til å tegne og bli tildelt én (1) ny aksje i Fortrinnsrettsemisjonen.*

Dersom ikke alle tegningsretter er gyldig utøvd i tegningsperioden, vil tegnere som har benyttet seg av sine tegningsretter og som har overtegnet, bli tildelt ytterligere aksjer på pro rata-basis basert på det antall tegningsretter som er utøvd av hver tegner. I den utstrekning pro rata tildeling ikke er mulig, vil Selskapet bestemme tildelingen ved loddtrekning.*
  - *c. Nye aksjer som ikke er tildelt i henhold til punkt a) til b) ovenfor, vil bli tildelt tegnere som ikke eier tegningsretter. Tildeling vil bli søkt gjennomført på pro rata basis basert på deres respektive tegningsbeløp.*
- *(ix) Aksjer som ikke er tegnet og tildelt ved tegningsperiodens slutt, skal fordeles mellom Garantistene angitt i separat vedlegg, gjort tilgjengelig på BerGenBio sin nettside, i henhold til deres garantiforpliktelser og tildelingsprinsipper i Garantiavtalene. Garantistenes forpliktelse under garantien er basert på deres respektive garanterte beløp og er underlagt visse alminnelige betingelser for slike forpliktelser.*

*(viii) The new shares shall be allocated by the board of directors. The following allocation criteria shall apply:*

- *a. Allocation of shares to subscribers will be made in accordance with granted and acquired subscription rights which have been validly exercised during the subscription period. Each subscription right will give the right to subscribe and be allocated one (1) new share in the Rights Issue.*
- *b. If not all subscription rights are validly exercised during the subscription period, subscribers who have exercised their subscription rights and oversubscribed, will be allocated additional new shares on a pro rata basis based on the number of subscription rights exercised by each subscriber. To the extent that pro rata allocation is not possible, the Company will determine the allocation by drawing of lots.*
- *c. New shares not allocated pursuant to item a) to b) above, will be allocated to subscribers not holding subscription rights. Allocation will be sought made on a pro rata basis based on their respective subscription amounts.*
- *(ix) Shares which have not been subscribed by and allocated at the expiry of the subscription period shall be allocated to the Underwriters listed in a separate appendix, available at the Company's website, pursuant to their respective underwriting commitments and allocation principles in the Underwriting Agreements. The Underwriters' underwriting commitment is made based on their respective underwritten amount and is subject to certain customary conditions for such commitments.*

- *(x) De nye aksjene gir fulle aksjeeierrettigheter i Selskapet, herunder rett til utbytte, fra og med tidspunktet for registrering av kapitalforhøyelsen i Foretaksregisteret.*
- *(xi) Selskapets vedtekter § 4 endres til å reflektere den nye aksjekapitalen og det nye antall aksjer etter kapitalforhøyelsen.*
- *(xii) Dersom aksjer med et samlet tegningsbeløp tilsvarende bruttoprovenyet i Fortrinnsrettsemisjonen ikke er tegnet og tildelt ved tegningsperiodens slutt, skal de gjenværende aksjene tegnes av Garantistene som garanterer for Fortrinnsrettsemisjonen. Garantistenes forpliktelse er underlagt visse alminnelige betingelser for slike forpliktelser.*
- *(xiii) Garantistene har rett til et honorar tilsvarende 12 % av deres respektive garantiforpliktelse, som skal gjøres opp i form av nye aksjer i Selskapet som utstedes til den samme tegningskursen som i Fortrinnsrettsemisjonen.*
- *(xiv) Kostnadene som skal betales av Selskapet ved kapitalforhøyelsen er foreløpig anslått til å være ca. NOK 24 millioner (eks. MVA), inkludert en garantiprovisjon på NOK 15,6 millioner for garantiforpliktelsene som skal betales i aksjer.*
- *(xv) Fortrinnsrettsemisjonen er betinget av at generalforsamlingen i Selskapet vedtar å godkjenne Fusjonen i punkt 4 over og at Fusjonen gjennomføres. Dersom tegningskursen fastsettes under nåværende pålydende på NOK 1 per aksje, er Fortrinnsrettsemisjonen også betinget av at en senere ekstraordinær generalforsamling i Selskapet vedtar en kapitalnedsettelse for å*

*(x) The new shares will carry full rights in the Company, including the right to dividend, from the time of the registration of the share capital increase with the Norwegian Register of Business Enterprises.*

*(xi) Article 4 of the Company's articles of association will be amended to reflect the new share capital and the new number of shares following the share capital increase.*

- *(xii) If shares with an aggregate subscription amount equal to the total gross proceeds for the Rights Issue is not subscribed for and allocated at the expiry of the subscription period, the remaining shares shall be subscribed for by the Underwriters underwriting the Rights Issue. The Underwriters' underwriting commitment is subject to certain customary conditions for such commitments.*
- *(xiii) The Underwriters are entitled to a fee equal to 12% of their respective underwriting commitment, which shall be settled in the form of new shares in the Company which are issued at the same subscription price as in the Rights Issue.*
- *(xiv) The costs payable by the Company in connection with the share capital increase are for the time being estimated to be approx. NOK 24 million (excl. VAT), including an underwriting commission of NOK 15.6 million for the underwriting commitment which shall be paid in shares.*
- *(xv) The Rights Issue is conditional upon the general meeting resolving to approve the Merger in item 4 above and that the Merger is completed. If the subscription price is set below the current nominal value of NOK 1 per share, the Rights Issue is also subject to that a subsequent extraordinary general meeting in the Company resolves a share capital reduction to reduce the shares' nominal value*

Som det fremgår av punkt 8.1 ovenfor skal Garantistene motta sitt honorar i form av nye aksjer i Selskapet som utstedes til den samme tegningskursen som i Fortrinnsrettsemisjonen. Garantistene skal for et samlet beløp på NOK 15.600.000 motta oppgjør i form av nye aksjer i Selskapet.

For å tilrettelegge for oppgjør av honorar i form av nye aksjer, foreslås det at generalforsamlingen tildeler styret en fullmakt til å forhøye aksjekapitalen med inntil NOK 15.600.000. Fullmakten er betinget av at Fortrinnsrettsemisjonen gjennomføres.

Hvis Fortrinnsrettsemisjonen ikke fullføres, skal eventuelle kostnader knyttet til garantiprovisjon til Garantistene i Fortrinnsrettsemisjonen deles i forhold til bytteforholdet mellom Selskapet og Oncoinvent, forutsatt at hvis Fusjonen er fullført på det tidspunktet, skal denne kostnaden bæres av Selskapet.

Tatt i betraktning formålet med fullmakten, foreslår styret at fortrinnsretten til eksisterende aksjonærer til å tegne seg for nye aksjer etter allmennaksjeloven § 10-4, fravikes, jf. § 10-5.

# **11.2 Fullmakt til å forhøye aksjekapitalen i forbindelse med oppgjør av garantiprovisjon**

Styret foreslår, forutsatt at generalforsamlingen vedtar Fortrinnsrettsemisjonen, at generalforsamlingen treffer følgende vedtak:

*to an amount equal to or below the subscription price.*

# **11 OPPGJØR AV GARANTIPROVISJON 11 SETTLEMENT OF THE UNDERWRITING COMMISSION**

### **11.1 Bakgrunn 11.1 Background**

As set out in item 8.1 above, the Underwriters shall receive their fee in the form of new shares in the Company which shall be issued at the same subscription price as in the Rights Issue. The Underwriters shall for a total amount of NOK 15,600,000 receive settlement in the form of new shares in the Company.

To facilitate for the settlement of the fee by way of new shares, it is proposed that the general meeting grants the board of directors an authorisation to increase the share capital with up to NOK 15,600,000. The authorization is subject to the completion of the Rights Issue.

If the Rights Issue is not completed, any costs associated with the underwriting commission in the Rights Issue shall be shared in proportion to the exchange ratio between the Company and Oncoinvent, provided however that if the Merger has been completed at such time, this cost shall be borne by the Company.

Considering the purpose of the authorisation, the board of directors proposes that the pre-emptive right of existing shareholders to subscribe for new shares, as per the Public Companies Act § 10-4, is deviated, in accordance with § 10-5.

# **11.2 Authorisation to increase the share capital in connection with settlement of the underwriting commission**

The board of directors proposes, however provided that the general meeting approves the Rights Issue, that the general meeting adopts the following resolution:

*(i) I henhold til allmennaksjeloven § 10-14 gis styret fullmakt til å forhøye Selskapets aksjekapital med inntil NOK 15.600.000.*

*(ii) Fullmakten omfatter innskudd i andre eiendeler enn penger etter allmennaksjeloven § 10-2, og kan benyttes til kapitalforhøyelse der innskuddsforpliktelsen gjøres opp ved motregning mot honorar som Garantistene (slik disse er definert i Garantihonoraravtalene inngått i forbindelse med Fortrinnsrettsemisjonen) har krav på.*

*(iii) Styret gis fullmakt til å beslutte øvrige tegningsvilkår, i tråd med Garantiavtalene og vilkårene i Fortrinnsrettsemisjonen.*

- *(iv) Fullmakten gjelder frem til Selskapets ordinære generalforsamling i 2026, likevel ikke lenger enn til og med 30. juni 2026.*
- *(v) Aksjeeiernes fortrinnsrett til å tegne og bli tildelt de nye aksjene etter allmennaksjeloven § 10-4 kan fravikes, jf. § 10-5.*
- *(vi) Fullmakten omfatter ikke beslutning om fusjon etter allmennaksjeloven § 13-5.*
- *(vii) Styrefullmakten er betinget av gjennomføring av Fortrinnsrettsemisjonen.*
- *(viii) Selskapets vedtekter § 4 endres til å reflektere den nye aksjekapitalen og det nye antall aksjer etter kapitalforhøyelsen.*

*(i) Pursuant to Section 10-14 of the Norwegian Public Limited Companies Act, the board of directors is granted an authorisation to increase the Company's share capital by up to NOK 15,600,000.*

*(ii) The authorisation comprises share capital increases by contribution in other form than cash pursuant to Section 10-2 of the Norwegian Public Limited Liability Companies Act, and may be used for share capital increases where the contribution obligation is set off against the fee that the Underwriters (as defined in the Underwriting Agreement entered into in connection with the Rights Issue) are entitled to.*

*(iii) The board is authorised to decide on other subscription terms, in accordance with the Underwriting Agreements and the terms of the Rights Issue.*

*(iv) The authorisation is valid until the Company's annual general meeting in 2025, but no longer than to and including 30 June 2026.*

*(v) The shareholders' preferential right to subscribe for and be allocated the new shares pursuant to Section 10-4 of the Norwegian Public Limited Liability Companies Act may be deviated from, cf. Section 10-5.*

*(vi) The authorisation does not comprises share capital increase in connection with mergers pursuant to Section 13-5 of the Norwegian Public Limited Companies Act.*

*(vii) The authorisation is subject to the completion of the Rights Issue.* 

*(viii) Section 4 of the Company's articles of association will be amended to reflect the new share capital and the new number of shares following the share capital increase.*

Generalforsamlingen avholdes digitalt og uten fysisk oppmøte for aksjeeierne, jf. allmennaksjeloven § 5-8 (4), jf. § 1-5a, via den digitale tjenesten Lumi AGM.

Kun de som er aksjeeiere i Selskapet fem (5) virkedager før generalforsamlingen, dvs. den 28. juli 2025 ("**Registreringsdatoen**"), har rett til å delta og stemme på generalforsamlingen, jf. vedtektenes § 7 og allmennaksjeloven § 5-2. En aksjeeier som ønsker å delta og stemme på generalforsamlingen, må være innført i aksjeeierregisteret (Euronext Securities Oslo ("**ES-OSL**")) på Registreringsdatoen eller ha meldt og godtgjort erverv per Registreringsdatoen. Aksjer som er ervervet etter Registreringsdatoen gir ikke rett til å delta og stemme på generalforsamlingen.

I henhold til vedtektenes § 7 må alle aksjeeiere som har til hensikt å delta på den digitale generalforsamlingen registrere deltakelse innen **31. juli 2025 kl. 23.59**. Aksjeeiere som ikke overholder påmeldingsfristen, vil ikke kunne delta på generalforsamlingen.

## **Notice of Extraordinary General Meeting**

Extraordinary General Meeting in BerGenBio ASA will be held on 4 August 2025 at 12:00 hours (CEST), time as a virtual meeting.
