Notification summary

Roularta Media Group NV has received a transparency notification dated 27 June 2025, and this as a result of the modification of the agreement to act in concert, due to the contribution of the registered shares of SA West Investment Holding, which enjoyed double voting rights, in the initial acceptance period of the public takeover bid launched by NV Koinon on the Roularta Media Group NV shares, which were not yet held by NV Koinon or persons affiliated with Koinon NV.

The contribution of SA West Investment Holding's shares to the public takeover bid also ended the existing agreement to act in concert between SA West Investment Holding and Koinon NV.

The notification also lists the other shares contributed in the bid.

Through these acquisitions, Koinon NV and persons affiliated with Koinon NV exceed the 90% threshold of total voting rights.
