Additional Explanations

Şirketimizin 01.04.2023 – 31.03.2024 hesap dönemine ilişkin olarak;

1. Şirketimizin TFRS'ye uygun olarak hazırlanan 01.04.2023 – 31.03.2024 hesap dönemine ait finansal tablolarında 823.127.477 TL tutarında Net Dönem Kârı olup bu tutardan 6102 sayılı Türk Ticaret Kanunu'nun (" TTK ") 519. maddesi uyarınca Genel Kanuni Yedek Akçe ayrıldıktan sonra 809.127.477 TL Net Dağıtılabilir Dönem Kârı oluştuğu; yasal kayıtlara göre düzenlenmiş finansal tablolarda ise Net Dönem Kârı 967.795.368,95 TL olup bu tutardan TTK'nın 519. maddesi uyarınca Genel Kanuni Yedek Akçe ayrıldıktan sonra 953.795.368,95 TL Net Dağıtılabilir Dönem Kârı olduğu görülmüştür,

2. Bu kapsamda, 01.04.2023 – 31.03.2024 hesap dönemine ilişkin olarak, Şirket Esas Sözleşmemize ve TTK'nın 519. maddesi uyarınca ayrılması gereken tüm genel kanuni yedek akçelerinin ayrılmasına ve pay sahiplerine 1 TL nominal değerli beher pay için brüt 0,4458 TL nakit kâr payına tekabül eden brüt 107.000.000,00 TL tutarında kâr payı dağıtılmasına;

3. Şirketimizin gerçekleştirilecek ilk Olağan Genel Kurul Toplantısı'nda yukarıda açıklandığı ve aşağıdaki tablolarda belirtilen şekilde kâr dağıtımı yapılması hususunun pay sahiplerinin onayına sunulmasına;

4. Kar payı ödeme tarihinin genel kurulda görüşülmesine, ve

5. Yukarıdaki hususlarla birlikte Yönetim Kurulu'nun 27.08.2024 tarihli ve 14 sayılı kararı uyarınca, Kâr Dağıtım Politikası'nın söz konusu genel kurul toplantısında pay sahiplerinin onayına sunulmasına

karar verilmiştir.
