Şirketimizin yatırımcılarımız ile paylaşılan 28.06.2024 tarihli özel durum açıklamasında Karpowership Senegal S.A. ile, Senegal'in enerji ihtiyacının yüzer enerji santraliyle karşılanmasına yönelik, 90kV Bel Air GIS Trafo Merkezi Genişleme Projesi kapsamında trafo merkezinin tasarım, mühendislik, ekipman tedarik, kurulum ve devreye alma işleri için 2.346.000 EUR ve 200.000.000 CFA (Batı Afrika CFA Frangı) olmak üzere toplam 2.651.413,45 EUR tutarında sözleşme imzalandığı ("Sözleşme"), ilgili sözleşme bedelinin güncel kurla (TCMB alış kuru uyarınca) toplam 93.120.822,18 TL tutarında olduğu duyurulmuştu.

Sözleşme'nin son tüketicisi (end-user) konumundaki Senelec SA (Societe nationale d'electricite du Senegal) tarafından yatırımın ertelenmesi sebebiyle Sözleşme'nin karşılıklı mutabakata varılarak sona erdirilmesine karar verilmiştir. Söz konusu yatırımın tekrar gündeme gelmesi durumunda taraflar Sözleşme koşullarını tekrar müzakere edebileceklerdir.

İş ilişkisinin sona erdirilmesinin mevcut durumda şirketimizin finansal tablolarına herhangi bir önemli/esaslı olumsuz etkisi bulunmamaktadır.

In the material disclosure dated 28.06.2024 shared with our investors, our company signed a contract with Karpowership Senegal S.A. for a total amount of EUR 2,651,413.45, consisting of EUR 2,346,000 and CFA 200,000,000 CFA (West African CFA Francs), for the design, engineering, equipment supply, installation and commissioning works of the substation within the scope of the 90kV Bel Air GIS Substation Expansion Project to meet the energy needs of Senegal with a floating power plant ("Contract"), It was announced that the relevant contract price was 93,120,822.18 TL in total at the current exchange rate (in accordance with the CBRT purchase rate).

Due to the postponement of the investment by Senelec SA (Societe nationale d'electricite du Senegal), which is the end-user of the Contract, it has been decided to terminate the Contract by mutual contract. In the event that the investment in question comes to the fore again, the parties will be able to renegotiate the terms of the Contract.

The termination of the business relationship does not currently have any material negative impact on our company's financial statements.
