COMUNICAZIONE IN MERITO AL DISPOSITIVO DELLA SENTEZA DI PRIMO GRADO - PIENA ED INCONDIZIONATA FIDUCIA DA PARTE DEL CONSIGLIO DI AMMINISTRAZIONE DELLA SOCIETÀ NEI CONFRONTI DI ALBERTO E BERNARDA FRANCHI, CONFERMANDO CONVINTAMENTE LA STIMA NELLE CAPACITÀ PROFESSIONALI, NEL RIGORE GESTIONALE E NELLA DEDIZIONE ALLA SOCIETÀ DA SEMPRE DIMOSTRATA

Carrara, 2 luglio 2025 - Franchi Umberto Marmi S.p.A. (la "Società" o "FUM), azienda leader del "Made in Italy" a livello internazionale nel settore della lavorazione e della commercializzazione del pregiato marmo di Carrara, quotata sul mercato Euronext Growth Milan (Ticker: FUM), comunica che in data odierna il Consiglio di Amministrazione è stato informato e ha preso atto del dispositivo della sentenza di primo grado pronunciata dal Tribunale di Massa all'esito dell'udienza di discussione del 27 giugno 2025 nel procedimento NRG 253/17 in danno del Sig. Alberto Franchi e della Sig.ra Bernarda Franchi, rispettivamente presidente e vice-presidente della Società, referente il sopra indicato procedimento penale già in precedenza comunicato al mercato, afferente i contestati reati di cui agli artt. 2 e 3 D.Lgs 74/2000 e 483 c.p. per Alberto Franchi e art. 2 D.Lgs 74/2000 per Bernarda Franchi.

Il dispositivo della sentenza di primo grado riferisce una condanna, per i reati ascritti, al Sig. Alberto Franchi di anni 4 di reclusione e alla Sig.ra Bernarda Franchi di anni 2 di reclusione con pena sospesa, con deposito delle motivazioni in 90 giorni.

Il Consiglio di Amministrazione della Società, tempestivamente convocato ad esito della pronuncia, ha espresso piena ed incondizionata fiducia nei confronti di entrambi gli amministratori confermando convintamente la stima nelle capacità professionali, nel rigore gestionale e nella dedizione alla Società da sempre dimostrata da Alberto e Bernarda Franchi.

Il Consiglio di Amministrazione, nel ribadire la propria vicinanza personale e istituzionale al proprio Presidente e al proprio Vice-Presidente, informa che intende continuare a supportarli attivamente in vista delle fasi successive del procedimento – sia in sede di Appello sia ogni ulteriore grado di giudizio – auspicando la conferma di una piena estraneità alle contestazioni sollevate, come già sostenuto nel corso delle precedenti fasi del giudizio.

Il Presidente Alberto Franchi dichiara: "Il dispositivo della sentenza di primo grado ci coglie di sorpresa ma dobbiamo attendere le motivazioni per poter prendere contezza della logica giuridica riposta dal Giudice alla base delle così severe pene, che mal si conciliano, quanto meno in astratto, con l'intervenuto integrale pagamento del debito tributario di cui all'atto di adesione intervenuto

con l'Agenzia delle Entrate. In attesa, comunque, di leggere le motivazioni, non posso che affermare che ricorreremo senza dubbio in appello, certi di una sentenza che riaffermi il nostro buon operato."

Carrara, July 2, 2025 - Franchi Umberto Marmi S.p.A., an international leader in the processing and marketing of Carrara marble, listed on Euronext Growth Milan (Ticker: FUM) (the "Company") announces that today the Board of Directors was informed and took note of the operative part of the judgment of the Court of First Instance delivered by the Court of Massa following the hearing of June 27, 2025 in the proceeding with General Registry Number 253/17 against Mr. Alberto Franchi and Ms. Bernarda Franchi, respectively president and vice-president of the Company. This refers to the above-mentioned criminal proceeding already disclosed to the market concerning the offences imputed referred to in art. 2 and 3 of Legislative Decree 74/2000 and 483 of the Criminal Code for Alberto Franchi and art. 2 of Legislative Decree 74/2000 for Bernarda Franchi.

The operative part of the judgment of the Court of First Instance handed down a sentence for the alleged offences to 4 years in prison for Mr. Alberto Franchi and 2 years in prison for Ms. Bernarda Franchi with suspended sentence, with the time limit for filing the grounds of 90 days.

The Board of Directors of the Company, promptly convened following the judgement, expressed complete and unconditional trust in both directors, firmly confirming the aknowledgment of their professional skills, their organisational strictness and their dedication to the Company always demonstrated by Alberto and Bernarda Franchi.

The Board of Directors, while reiterating its personal and institutional closeness to its President and Vice-President, informs that it will continue to actively support them in view of the subsequent phases of the proceedings – both at the Appeal stage and at any further level of judgment – hoping for confirmation of full non-involvement in the disputes raised, as already stated during the previous phases of the trial.

The chairman Alberto Franchi declared: "The operative part of the judgment of the Court of First Instance took us by surprise but we must wait for the grounds to be able to understand the legal logic of the Judge for such severe penalties, which are difficult to combine, at least in theory, with the full payment of the tax debt referred to in the assessment by consent agreement with the

Revenue Agency. While waiting to read the grounds, I can only state that we will undoubtedly appeal, because we are sure that the sentence will reaffirm our good work."
