Additional Explanations

The Board of Directors of the Company convened at the Company Headquarter on 10 .03.2025 and took the following decisions:

The Board of Directors of the Company has resolved as follows: According to our financial statements for the accounting period 01.01.2024 - 31.12.2024 prepared by our Company in accordance with the provisions of the Communiqué Serial: II-14.1 of the Capital Markets Board, our Company's net distributable profit for the period is 758.337.102 TL. According to the legal records, the total net distributable profit for the period is determined as 269.110.274 TL.

As a result of the discussions held by the Board of Directors; within the framework of the Company's dividend distribution policy and in accordance with the dividend distribution table prepared; the proposal for the distribution of gross 117.647.059 TL and net 100.000.000 TL of the net distributable profit calculated within the framework of the Turkish Commercial Code and the regulations and resolutions of the Capital Markets Board regarding dividend distribution; to be submitted to the approval of the General Assembly in accordance with the attached dividend distribution table; Within this framework;

a) To distribute gross 117.647.059 TL and net 100.000.000 TL as cash dividend to the shareholders, and to set aside 10.939.706 TL as second order reserve fund over the dividend distributed,

b) To set aside the remaining balances as extraordinary reserves,

c) To accept the dividend table attached to this board resolution

d) Dividend distribution payment in five equal instalments of of gross TL 23.529.411,76 on 15 April 2025, gross TL 23.529.411,76 on 16 June 2025, gross TL 23.529.411,76 on 15 Ağustos 2025 and gross TL 23.529.411,76 on 15 October 2025 and gross TL 23.529.411,76 on 15 December 2025 to submit the issue of realisation of the payment to the approval of our shareholders at the General Assembly Meeting has been unanimously resolved.
