Additional Explanations

Şirket Yönetim Kurulu 07.04.2025 tarihli toplantısında,

1- Türkiye Muhasebe Standartları'na ("TMS") göre hazırlanan ve bağımsız denetimden geçmiş enflasyon düzeltmesi sonrasında oluşan konsolide finansal tablosunda (bilanço) net dönem kârı 55.901.162 TL'dir. Konsolide olmayan yasal kayıtlarında (Vergi Usul Kanunu'na göre tutulan kayıtlarında) 253.505.952,91 TL dönem net zararı bulunmaktadır.

Ek-1'deki 2024 yılı Kar Dağıtım Tablosunda sunulduğu üzere; yasal kayıtlarında dönem net zararı olduğundan herhangi bir yedek akçe ayrılmayacaktır.

Şirketin 31.12.2024 tarihli yasal kayıtlarına göre hazırlanan bilançosundan karşılanmak üzere; enflasyon düzeltmesi farkı öncesi olağanüstü yedekler hesabından, Şirket ödenmiş sermayesinin 1 TL nominal değerli hisse başına net %5 ine tekabül eden 7.500.000 TL'nin nakit kar payı olarak ayrılmasına,

Şirketimizin nakit projeksiyonu da dikkate alınarak 02 Haziran 2025 tarihinden itibaren ödenmesine karar verilmiştir.

Dağıtılmasına karar verilen kar payı brüt olarak %5,88235 oranı ile, 8.823.529,41 TL'ye tekabül etmektedir.

2- Şirket Esas Sözleşmesi uyarınca net 3.000.000 TL tutarında Eğitim Fonunun yasal kayıtlara göre hazırlanan bilançosunda yer alan olağanüstü yedeklerden ayrılmasına ve bu tutarın burs olarak dağıtılması hususunda Şirket yönetim kuruluna yetki verilmesine,

Yukarıdaki tüm maddelerin 15 Mayıs 2025 tarihinde yapılacak olan Genel Kurul toplantısında ortakların onayına sunulmasına oybirliği ile karar verilmiştir.
