Dividend Rate Table Explanations

Şirketimiz Yönetim Kurulu Toplantısı'nda alınan karar uyarınca;

31.12.2024 tarihi itibariyle sona eren hesap döneminde Sermaye Piyasası Kurulu'nun Seri II-14.1 sayılı "Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği" uyarınca Kamu Gözetimi Muhasebe ve Denetim Standartları Kurumu ("KGK") tarafından yayımlanan Türkiye Muhasebe Standartları'na ("TMS") uygun olarak hazırlanan ve PwC Bağımsız Denetim Denetim ve Serbest Muhasebeci Mali Müşavirlik A.Ş. tarafından denetlenen 2024 yılı finansal tablolarına göre Şirketimizin 2024 yılına ait net dönem karı 338.198.645,00.-TL'dir.

Bu doğrultuda;

1- Dönem (01.01.2024 - 31.12.2024) içinde sosyal yardım amacıyla vakıf ve derneklere yapılan bağış ve yardım bulunmadığının tespitine,

2- Ekte yer alan 2024 yılı kâr dağıtım tablosunun onaylanmasına,

3- Sermaye Piyasası Kanunu (SPK) mevzuatına uygun olarak hesaplanan 2024 yılı dönem kârından esas sözleşmemizin 15. maddesi gereği ve SPK tebliğlerine uygun olarak 14.541.503,51-TL genel kanuni yedek akçe (1.Tertip), yasal yükümlülükler düşüldükten sonra kalan 323.657.141,49. -TL tutarındaki net dağıtılabilir dönem kârının aşağıdaki şekilde dağıtılmasına,

Birinci Kâr Payı :180.000.000,00.-TL

4- Vergi Usul Kanunu hükümlerine göre hazırlanan yasal kayıtlarımız esas alındığında ise;

➢ Ortaklara dağıtılacak 180.000.000,00.-TL brüt kâr payının; tamamının net dağıtılabilir dönem kârından karşılanmasına,

Böylelikle 2024 yılı için, 500.000.000,00.-TL sermayeyi temsil eden pay sahiplerine hukuki durumlarına bağlı olarak 180.000.000,00-TL ve %36 Brüt, 153.000.000-TL ve %30,6 Net oranında Kâr Payının eşit olarak 1.taksiti 22.04.2025 tarihinde, 2.taksiti 22.07.2025 tarihinde ve 3.taksiti 22.09.2025 tarihinde nakden dağıtılması hususunun 09 Nisan 2025 tarihinde yapılan tarihinde yapılan 2024 Yılı Olağan Genel Kurul Toplantısında oy çokluğu ile kabul edilmiştir.
