Alarko Holding A.Ş. Yönetim Kurulu tarafından;

Türk Ticaret Kanunu ve Sermaye Piyasası Kurulu düzenlemeleri ile Kamu Gözetimi, Muhasebe ve Denetim Standartları Kurumu düzenlemeleri ve ilgili diğer mevzuat gereğince, Denetimden Sorumlu Komitemizin önerileri doğrultusunda;

(i)  Şirketimizin 2025 yılı Hesap Dönemi Bağımsız Denetimini yapmak üzere BDO Denet Bağımsız Denetim ve Danışmanlık A.Ş.'nin seçilmesine;

(ii) Şirketimizin 2024 ve 2025 yıllarına ait sürdürülebilirlik raporlarının güvence denetimini yapmak ve ilgili düzenlemeler çerçevesinde yer alan diğer faaliyetleri yürütmek üzere KPMG Bağımsız Denetim ve Serbest Muhasebeci Mali Müşavirlik A.Ş.'nin seçilmesine; ve

(iii) bu seçimlerin Genel Kurulun onayına sunulmasına,

karar verilmiştir.

İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

Kamuoyuna saygılarımızla duyurulur.

It was resolved by the Board of Directors of Alarko Holding Anonim Şirketi, in accordance with the Turkish Commercial Code, the regulations of the Capital Markets Board, the regulations of the Public Oversight, Accounting and Auditing Standards Authority, and other relevant legislation, and in line with the recommendations of our Audit Committee;

(i) to appoint BDO Denet Bağımsız Denetim ve Danışmanlık A.Ş. to conduct the independent audit of our Company for the 2025 fiscal year;

(ii) to appoint KPMG Bağımsız Denetim ve Serbest Muhasebeci Mali Müşavirlik A.Ş. to perform the assurance audit of our Company's sustainability reports for the years 2024 and 2025 and to carry out other activities within the scope of relevant regulations; and

(iii) to submit these appointments for the approval of the General Assembly.
