Additional Explanations

In the meeting of our Company's Board of Directors dated 28.04.2025, it was decided that our Company made a profit of 112,938,913 TL according to the financial statements for the accounting period of 01.01.2024-31.12.2024, prepared in accordance with the provisions of the Communiqué on Principles Regarding Financial Reporting in Capital Markets (II-14.1), Turkish Accounting Standards and Turkish Financial Reporting Standards (TMS/TFRS), independently audited, and made a loss of 160,120,583.35 TL according to the solo financial statements for the same period prepared in accordance with the TCC and Tax Procedure Law. According to our legal records prepared in accordance with the 2024 Tax Procedure Law, taking into account the Turkish Commercial Code, Capital Market Legislation and Capital Markets Board regulations, Tax Legislation and our Company's Profit Distribution Policy, it was decided that no profit distribution should be made since a loss of 160,120,583.35 TL was incurred. It was decided to submit to the shareholders' approval at the 2024 Ordinary General Assembly meeting and to accept the Profit Distribution Table prepared in accordance with the CMB's Profit Share Communiqué No. II-19.1 and the relevant Guide, as included in the Annex.
