Additional Explanations

Yönetim Kurulu'nun 11.04.2025 tarih ve 2025/04 sayılı kararı gereği;

1- SPK'nın Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği (II-14.1 sayılı Tebliğ) hükümleri dahilinde, Kamu Gözetimi, Muhasebe ve Denetim Standartları Kurumu ("KGK") tarafından yayımlanan Türkiye Muhasebe Standartları ("TMS") ve Türkiye Finansal Raporlama Standartları ("TFRS")'na uygun olarak hazırlanan, sunum esasları SPK'nın konuya ilişkin Kararları uyarınca belirlenen, bağımsız denetimden geçmiş, 2024 hesap dönemine ait Şirketimiz'in Finansal Tabloları'na göre; 361.781.527,75 Türk Lirası tutarında "Net Dönem Zararı" oluştuğu;

2- Vergi Mevzuatı'na ve T.C. Maliye Bakanlığı tarafından yayımlanan Tek Düzen Hesap Planı ("Muhasebe Sistemi Uygulama Genel Tebliği")'na göre tutulan 2024 hesap dönemine ait yasal muhasebe kayıtlarımızda da 334.051.000,89 Türk Lirası tutarında "Net Dönem Zararı" oluştuğu görülerek,

3- SPK'nın kâr dağıtımına ilişkin düzenlemeleri dahilinde, 2024 hesap döneminin zararla sonuçlanması nedeniyle herhangi bir kâr dağıtımı yapılamayacağı hususunun Genel Kurul'a teklif olarak götürülmesine oy birliği ile karar verilmiştir.

Yukarıda yer alan Yönetim Kurulu'nun önerisi, bugün yapılan (09.05.2025) Olağan Genel Kurul toplantısında oy birliği ile kabul edildi.
