Şirketimizin 13 Mart 2025 tarih ve 2025/12 sayılı Yönetim Kurulu kararına göre; Sermaye Piyasası Kurulu'nun ("Kurul") 07.06.2013 tarihli ve 28670 sayılı Resmi Gazete'de yayımlanan Kira Sertifikaları Tebliği (III-61.1) ("Tebliğ") çerçevesinde, Şirketimiz Brisa Bridgestone Sabancı Lastik Sanayi ve Ticaret A.Ş.'nin fon kullanıcısı ve/veya kaynak kuruluş olarak yer alacağı, Katılım Varlık Kiralama A.Ş.'nin (Katılım VKŞ) ihraççı olarak yer alacağı yapıda, 5.000.000.000 TL (BeşMilyarTürk Lirası) (bu tutar dâhil) ihraç tavanı ile sınırlı olarak tertipler halinde satılmak üzere, Tebliğ'in 4 ile 6.maddeleri çerçevesinde Tebliğ'de öngörülen yönetim sözleşmesine dayalı kira sertifikası türünde, çeşitli vadelerde ve şartlarda, yurt içinde Türk Lirası cinsinden halka arz edilmeksizin tahsisli olarak ve/veya nitelikli yatırımcılara satılmak üzere kira sertifikası ihraç edilmesine, bu amaçla gerekli sözleşmelerin imzalanmasına, planlanan kira sertifikaları ihraç işlemlerinde finansal danışman ve yetkili yatırım kuruluşu olarak belirlenen Vakıf Katılım Bankası A.Ş.'den hizmet alınmasına, Sermaye Piyasası Kurulu ve ilgili diğer makamlara gerekli başvuruların yapılmasına ve kira sertifikası ihracı ile doğrudan ve/veya dolaylı olarak ilgili olan her türlü iş ve işlemlerin yürütülmesine, her türlü değişikliğin yapılmasına ve Şirketimizin birinci grup imza yetkililerinden herhangi ikisinin müştereken yetkilendirilmelerine karar verilmiştir. Bu kapsamda, 28 Mart 2025 tarihinde Sermaye Piyasası Kurulu'na yaptığımız başvurumuz Kurul'un 30 Mayıs 2025 tarih ve 33/1000 sayılı toplantısında onaylanmış olup, SPK Onaylı İhraç Belgesi ve Hukuki Durum Değerlendirme Raporu ekte yer almaktadır. According to the resolution of our Company's Board of Directors dated March 13, 2025 and numbered 2025/12; as per the Communiqué on Lease Certificates (III-61.1) (the " Communiqué") published by the Capital Markets Board (the "CMB") in the Official Gazette dated 07.06.2013 and numbered 28670 it has been resolved that, our Company (Brisa Bridgestone Sabancı Lastik Sanayi ve Ticaret A.Ş) shall be involved in the capacity of a fund user and/or an originator in the issuance of lease certificates domestically in TRY, where Katılım Varlık Kiralama A.Ş. (Katılım VKŞ) will take place as the issuer, to be sold in tenors with limitation to the issuance ceiling of TRY 5,000,000,000 (FiveBillionTurkish Liras) (this amount included) by means of sales without public offering through private placement and/or sales to qualified investors at various maturities and under various terms and conditions in the type of management agreement-based lease certificates provided for in the Communiqué within the framework of articles 4 and 6 of the Communiqué , necessary agreements regarding the issuance shall be signed, services shall be received from Vakıf Katılım Bankası A.Ş. as the financial consultant and authorised investment company in the contemplated issuance of lease certificates, necessary applications shall be filed to the Capital Markets Board and other relevant bodies, and all kinds of acts and actions that are directly and/or indirectly related to the issuance of lease certificates shall be performed, all kinds of amendments shall be made, and any two of our Company's first group of authorised signatories shall be jointly authorised in this respect. Within this context, our application to the Capital Markets Board of Türkiye, which was made on March 28, 2025, was approved at the Board's meeting dated May 30, 2025 and numbered 33/1000. Issue Document approved by the Board and Legal Opinion Document are attached. (In case of a discrepancy between the Turkish and the English versions of this disclosure, the Turkish version shall prevail.)
