NOTICE OF FILING OF THE MINUTES OF THE BOARD OF DIRECTOR'S MEETING AND THE UPDATED COMPANY BY-LAWS

FINCANTIERI S.p.A. ("Fincantieri" or the "Company") announces that the minutes of the Board of Directors' meeting held in notarial form on June 26, 2025, which resolved to the issuance of, without increasing the share capital, no. 837,406 ordinary shares, without par value, having the same characteristics as the outstanding ordinary shares, to be used for the first cycle of the 2022-2024 Performance Share Plan, pursuant to Article 2349 of the Italian Civil Code, and to grant authority to the Chairman of the Board of Directors and the Chief Executive Officer, separately, to determine the number of ordinary shares, without par value, having the same characteristics as the outstanding ordinary shares, to be issued, also in one or several tranches, without increasing the share capital, to be used for the Employee Share Ownership Plan 2025–2026, pursuant to Article 2349 of the Italian Civil Code, is made available to the public on the Company's website (www.fincantieri.com) in the section "Governance and Ethics - Board of Directors" and on the website of the authorized storage mechanism "eMarket STORAGE" ().

The Company also announces that the new version of Fincantieri's bylaws, registered in the Companies' Register of Venezia Giulia on June 30, 2025, is made available to the public on the Company's website (www.fincantieri.com) in the section "Governance and Ethics -Corporate Governance System - Bylaws" and on the website of the authorized storage mechanism "eMarket STORAGE" ().
