# **Creactives Group S.p.A.: delibera del Consiglio di Amministrazione del 30 giugno 2025**

*Verona, 30 giugno 2025*. **Creactives Group S.p.A.** ("**Creactives**" o "**Società**") (ISIN **IT0005408593** - ticker: **CREG**), società internazionale e PMI Innovativa fiscalmente ammissibile, quotata su Euronext Growth Milan – Segmento Professionale ("**Euronext Growth Milan Pro**"), che sviluppa tecnologie di intelligenza artificiale nel campo della Supply Chain, comunica che, in data odierna, si è riunito, in seduta notarile, il Consiglio di Amministrazione che ha deliberato di estendere il termine finale di sottoscrizione, originariamente previsto per il 30 giugno 2025, dell'aumento di capitale deliberato in data 10 dicembre 2024 in esercizio della delega ad aumentare il capitale sociale ai sensi dell'art. 2443 cod. civ. – a pagamento e in via scindibile, con esclusione del diritto di opzione ai sensi dell'art. 2441, comma 5, cod. civ., per un importo complessivo di massimi Euro 5.000.000, comprensivi di sovrapprezzo, mediante emissione di massime 2.000.000 azioni, prive di valore nominale, riservate alla sottoscrizione di investitori professionali e istituzionali (per maggiori dettagli si rinvia al comunicato stampa diffuso in pari data) – prevedendo quale nuovo termine di sottoscrizione il 17 ottobre 2025.

Si ricorda che in esecuzione del suddetto aumento di capitale scindibile sono state emesse nel mese di dicembre 2024 e di maggio 2025, complessive n° 670.000 nuove azioni ordinarie ad un prezzo di Euro 2,50 per un controvalore complessivo pari a Euro 1.675.000.

## **Creactives Group S.p.A.: resolution of the Board of Directors of June 30, 2025**

*Verona, June 30, 2025*. **Creactives Group S.p.A.** ("**Creactives**" or the "**Company**") (ISIN **IT0005408593** - ticker: **CREG**), an international company and fiscally eligible Innovative SME, listed on Euronext Growth Milan – Professional Segment ("**Euronext Growth Milan Pro**"), that develops Artificial Intelligence technologies to address real-life business problems in the Supply Chain, announces that, on today's date, the Board of Directors met in a notarial session which resolved to extend the final subscription period, initially set for June 30, 2025, for the capital increase approved on December 10, 2024, in exercise of the power to increase the share capital pursuant to Article 2443 of the Italian Civil Code – against payment and in divisible form, with the exclusion of option rights in accordance with Article 2441, paragraph 5, of the Italian Civil Code, for a total amount of up to Euro 5.000.000, including share premium, through the issue of up to 2.000.000 shares with no par value, reserved for subscription by professional and institutional investors (for further details, please refer to the press release issued on the same date) – with a new subscription deadline of October 17, 2025.

Please note that in execution of the aforementioned divisible capital increase, a total of 670.000 new ordinary shares were issued in December 2024 and May 2025 at a price of Euro 2,50 for a total value of Euro 1.675.000.
