Amendment to Purchase Agreement to Acquire Stellar Blu Solutions LLC

As previously announced by Gilat Satellite Networks Ltd. (the "Company"), on June 17, 2024, Wavestream Corporation (the "Buyer"), a Delaware corporation and a wholly-owned subsidiary of the Company, entered into a Membership Interest Purchase Agreement (the "Purchase Agreement") with Stellar Blu Solutions LLC, a Delaware limited liability company ("Stellar"), MAZAV Management LLC ("MAZAV"), CF GDC LLC ("CFG," and, together with MAZAV, the "Sellers"), and CFG, as the representative of the Sellers, to purchase from the Sellers 100% of the membership interests of Stellar (the "Acquisition").

On December 11, 2024, the Buyer and the Sellers amended the Purchase Agreement (the "Amendment"). Pursuant to the Amendment, the parties agreed, that given that all required approvals under the Purchase Agreement have been received the Acquisition will be consummated on January 6, 2025. The parties also agreed that the outside closing date be changed from December 17, 2024 to January 7, 2025.
