AI SENSI DELL'ART. 17 DEL REGOLAMENTO EURONEXT GROWTH MILAN

Cerreto Guidi (FI), 30 giugno 2025 - Magis S.p.A. ("Magis" o la "Società"), società leader nella produzione di nastri adesivi personalizzati e sistemi di chiusura per il body care di adulti e infanzia, rende noto ai sensi della Disciplina sulla Trasparenza e dell'art. 17 del Regolamento Emittenti Euronext Growth Milan, di aver ricevuto in data 30 giugno 2025 da i) Azimut Libera Impresa SGR S.p.a., in nome e per conto del fondo IPO CLUB, e da ii) IPOC 6 S.r.l., comunicazione della riduzione in data 26 giugno 2025 delle rispettive partecipazioni al di sotto della soglia di rilevanza del 5% del capitale sociale con diritto di voto della Società. In particolare, i suddetti azionisti dichiarano di detenere rispettivamente, n. 280.765 azioni ordinarie Magis pari al 4,85% circa del capitale sociale con diritto di voto e n. 266.000 azioni ordinarie Magis pari al 4,60% circa del capitale sociale con diritto di voto.

Si precisa che tali comunicazioni di riduzione di partecipazione sono conseguenti all'ampliamento e arricchimento della compagine sociale di Magis con l'ingresso nel capitale di un primario investitore istituzionale avente ottica di lungo periodo. Tale ingresso è stato favorito da IPO Club, cornerstone investor del pre-book che nel 2022 ha sancito l'approdo al listino della Società, e da IPOC 6 S.r.l. (controllata da Electa Ventures S.r.l.), società promotrice della quotazione.

Si segnala, inoltre, che la Società ha ricevuto da FRAMA S.r.l. comunicazione della riduzione della propria partecipazione al di sotto della soglia del 25%, avvenuta in data 5 giugno 2025 per effetto della diluizione legata alla conversione dei warrant.

Per tanto, sulla base delle comunicazioni pervenute dagli azionisti e delle informazioni ad oggi a disposizione della Società, detengono una partecipazione superiore al 5% del capitale con il diritto di voto di IWB i seguenti azionisti:

COMMUNICATION PURSUANT TO ART. 17 OF THE EURONEXT GROWTH MILAN REGULATION

Cerreto Guidi (FI), 30th June 2025 - Magis S.p.A. ("Magis" or the "Company"), leading manufacturer of customised adhesive tapes and fastening systems for adult and infancy body care, announces, pursuant to the Transparency Regulations and art. 17 of the Euronext Growth Milan Issuers Regulations, that on 30 June 2025 it received from i) Azimut Libera Impresa SGR S.p.a., in its capacity as asset manager, in the name and on behalf of the fund IPO CLUB, and from ii) IPOC 6 S.r.l., notice of the reduction on 26 June 2025 of their respective shareholding below the relevance threshold of 5% of the share capital with voting rights of Magis. In particular, the aforementioned shareholders declare to respectively hold no. 280,765 Magis ordinary shares equal to about 4.85% of the share capital with voting rights and no. 266,000 Magis ordinary shares equal to about 4.60% of the share capital with voting rights.

These notices of reduction of shareholding are consequent to the enlargement and enrichment of the shareholder structure of Magis with the entry into its capital of the well-known institutional, long-term investor. This entry was facilitated by IPO Club, cornerstone investor of the pre-book that brought the Company to the stock exchange in 2022, and by IPOC 6 S.r.l. (controlled by Electa Ventures S.r.l.), the promoting company of the listing.

Finally, the Company has received notice from FRAMA S.r.l. of the reduction of its shareholding below the 25% threshold occurred on June 5, 2025 due to warrant exercise dilution effect.

Based on the communications received from shareholders and the information currently available to the Company, the following shareholders hold a stake exceeding 5% of the voting capital of Magis:
