PARTNER COMMUNICATIONS ANNOUNCES THE RESULTS OF THE ANNUAL GENERAL MEETING OF SHAREHOLDERS

Rosh Ha'ayin, Israel, October 24, 2017 - Partner Communications Company Ltd. ("Partner" or the "Company") (NASDAQ and TASE: PTNR), a leading Israeli communications operator, announces the results of the Annual General Meeting of Shareholders (the "AGM"), that was held today, at Partner's offices in Rosh Ha'ayin, Israel.

The AGM resolutions with respect to the items set forth in the Company's proxy statement dated September 14, 2017, sent in connection with the AGM (the "Proxy Statement"), were as follows:

(1) Approval of the re-appointment of Kesselman & Kesselman, independent certified public accountants in Israel and a member of PricewaterhouseCoopers International Limited group, as the Company's auditor for the period ending at the close of the next annual general meeting;

The proposed resolution was approved by the required majority as detailed in the Proxy Statement.

(2) Discussion of the auditor's remuneration for the year ended December 31, 2016, as determined by the Audit Committee and by the Board of Directors, and the report of the Board of Directors with respect to the remuneration paid to the auditor and its affiliates for the year ended December 31, 2016;

No vote was required in connection with discussion of this item.

(3) Discussion of the Company's audited financial statements for the year ended December 31, 2016 and the report of the Board of Directors for such period;

No vote was required in connection with discussion of this item.

• (4) (i) Approval of the re-election of the following directors to the Company's Board of Directors until the close of the next annual general meeting: Mr. Adam Chesnoff, Mr. Elon Shalev, Mr. Fred Gluckman, Mr. Yoav Rubinstein, Mr. Arieh Saban, Mr. Yehuda Saban, Mr. Arie Steinberg, Mr. Ori Yaron and Mr. Barak Pridor;
  • (ii) Approval of the compensation of Mr. Adam Chesnoff, Mr. Elon Shalev, Mr. Fred Gluckman, Mr. Yoav Rubinstein, Mr. Arieh Saban, Mr. Yehuda Saban, Mr. Ori Yaron and Mr. Barak Pridor, approval and ratification of the reimbursement of reasonable expenses in connection with the performance of their role of each of the directors listed above; approval that the directors listed above will continue to benefit from the Company's existing D&O insurance policy; approval that the directors listed above who have indemnification and release letters will continue to benefit from the indemnification and release thereunder and their indemnification and release letters will continue in full force and effect; and
  • (iii) Approval of the compensation of Ms. Osnat Ronen and Mr. Arie Steinberg; approval and ratification of the reimbursement of reasonable expenses in connection with the performance of their role of each of Ms. Osnat Ronen and Mr. Arie Steinberg; approval that Ms. Osnat Ronen and Mr. Arie Steinberg will continue to benefit from the Company's existing D&O insurance policy and; approval that Ms. Osnat Ronen and Mr. Arie Steinberg who have indemnification and release letters will continue to benefit from the indemnification and release thereunder and their indemnification and release letters will continue in full force and effect.

The proposed resolutions were approved by the required majority as detailed in the Proxy Statement.

פרטנר תקשורת מודיעה על תוצאותיה של האסיפה הכללית השנתית של בעלי המניות

ראש העין, ישראל, 24 באוקטובר 2027 - חברת פרטנר תקשורת בע"מ )"פרטנר" או "החברה"( )NASDAQ ו-TASE: PTNR), מפעילת תקשורת מובילה בישראל, מודיעה על תוצאותיה של האסיפה הכללית השנתית של בעלי המניות )"האסיפה"( אשר התכנסה היום, במשרדי פרטנר בראש העין, ישראל.

החלטות האסיפה ביחס לנושאים המפורטים במסמך הזימון לאסיפה של החברה מיום 14 בספטמבר ,2112 אשר נשלח בקשר לאסיפה )"מסמך הזימון לאסיפה"), היו כדלהלן:

)1( אישור מינויים מחדש של קסלמן וקסלמן, חברי International PricewaterhouseCoopers Group Limited, כרואי החשבון של החברה לתקופה המסתיימת בתום האסיפה הכללית השנתית הבאה של בעלי המניות של החברה;

ההחלטה המוצעת אושרה ברוב הדרוש כמפורט במסמך הזימון לאסיפה.

)2( דיון בשכרם של רואי החשבון לשנה שהסתיימה ביום 31 בדצמבר ,2116 כפי שנקבע על ידי ועדת הביקורת והדירקטוריון, ובדוח הדירקטוריון לגבי השכר המשולם לרואי החשבון ולחברות קשורות להם לשנה שהסתיימה ביום 31 בדצמבר 2116;

לא נדרשה הצבעה בקשר עם הדיון בנושא זה.

)3( דיון בדוחות הכספיים המבוקרים של החברה לשנה שהסתיימה ביום 31 בדצמבר 2116 ובדו"ח הדירקטוריון לתקופה האמורה;

לא נדרשה הצבעה בקשר עם הדיון בנושא זה.

• )4( )i )אישור מינויים מחדש של הדירקטורים הבאים לדירקטוריון החברה עד תום האסיפה הכללית השנתית הבאה: מר אדם צ'זנוף, מר אלון שליו, מר פרד גלוקמן, מר יואב רובינשטיין, מר אריה סבן, מר יהודה סבן, מר אריה )אריק( שטיינברג, מר אורי ירון ומר ברק פרידור;
• )ii )אישור התגמול של מר אדם צ'זנוף, מר אלון שליו, מר פרד גלוקמן, מר יואב רובינשטיין, מר אריה סבן, מר יהודה סבן, מר אורי ירון ומר ברק פרידור; אישור ואשרור החזר ההוצאות הסבירות בקשר עם מילוי תפקידם של כל אחד מהדירקטורים שצוינו לעיל; אישור כי הדירקטורים שצוינו לעיל ימשיכו ליהנות מפוליסת ביטוח נושאי המשרה של החברה; אישור

כי הדירקטורים שצוינו לעיל שלהם כתבי שיפוי ופטור ימשיכו ליהנות מהשיפוי והפטור הקיימים וכתבי השיפוי ופטור שלהם ימשיכו לחול באופן מלא.

)iii )אישור התגמול של גב' אסנת רונן ומר אריה שטיינברג; אישור ואשרור החזר ההוצאות הסבירות בקשר עם מילוי תפקידם של גב' אסנת רונן ומר אריה שטיינברג; אישור כי גב' אסנת רונן ומר אריה שטיינברג ימשיכו ליהנות מפוליסת ביטוח נושאי המשרה הקיימת של החברה ואישור כי גב' אסנת רונן ומר אריה שטיינברג שלהם כתבי שיפוי ופטור ימשיכו ליהנות מהשיפוי ופטור הקיימים וכתבי השיפוי ופטור שלהם ימשיכו לחול באופן מלא.
