Re: Signing a non-exclusive distribution agreement with ABM Industry Groups, LLC

The Company is pleased to update that on May 29, 2022, an American subsidiary - Aura Smart Air Inc entered into a non-exclusive distribution agreement (the "Agreement") with ABM Industry Groups, LLC (the "Distributor"), under which it was agreed that the Distributor would market and sell the Company's products to the distributor's various customers in the United States, Canada and the United Kingdom (the "Territories"). As part of the contract, the Distributor will market and sell the Company's products, inter alia, through their inclusion in a general service program of the Distributor called Enhanced Facility ™. This service program is engaged with providing a variety of smart solutions for structures aimed at improving air quality, improving building health as well as the safety and energetic efficiency of the building and its occupants.

The agreement stipulates, inter alia, the following conditions: (a) The Distributor is given the right to purchase the Company's products at a fixed price and sell it in the Territories at a price of its choice; (B) The Company undertakes within the framework of the agreement, to deliver its products on the date and delivery dates chosen by the Distributor; (C) The Company remains liable to end customers in connection with the warranty for the Company's products, for a period of 12 months.

The Distributor, which is ranked 510th on the Fortune list, to the best of the Company's knowledge, manages assets and provides technological solutions for its customers that come from various segments such as office buildings, health centers (hospitals, clinics, and nursing homes), government buildings, airports, banking, industry, education, sports, and entertainment. The Distributor provides services for buildings amounting to approximately 550 million square meters, with more than 50% of the companies on the Fortune 500 list being customers of the Distributor. The Distributor holds about 350 sales and service offices scattered across North America and England. The Distributor provides its customers with solutions in various fields, inter alia, in the fields of energy savings, engineering, air conditioning, and intra-structural air quality management with the help of about 140,000 employees and an annual sales volume of about \$ 6.5 billion.
