Re: Commencing of Trade in the Company's Shares on Nasdaq and Transition to Reporting in accordance with the Provisions of Chapter E3 of the Securities Law

Further to the Company's immediate reports published on February 6, 2022 (reference no. 2022-01- 013587), July 24, 2022 (reference no. 2022-01-077514), September 4, 2022 (reference no. -2022-01 091695) and September 13, 2022, regarding the registration of the Company's shares for trading on Nasdaq, and the filing, by the Company, with the U.S. Securities and Exchange Commission (the "SEC"), of a registration statement on Form 20-F (the "Registration Statement"), the Company is pleased to report that the Registration Statement is expected to be declared effective by the SEC on September 20, 2022, and assuming it is declared effective, the Company's shares will commence trading on Nasdaq on September 21, 2022, under the ticker NYAX.

In addition, in accordance with the provisions of Section 35FF(c) of the Securities Law, 5728-1968 (the "Securities Law"), and pursuant to the resolution of the Company's shareholders' meeting held on July 26, 2022, immediately upon the commencement of trading on Nasdaq, the Company will transition from reporting in accordance with the provisions of Chapter F of the Securities law, to reporting in accordance with the provisions of Chapter E3 of the Securities Law, and will publish public filings in accordance with the requirements of the U.S. Securities Laws. In parallel with publishing such filings with the SEC, the Company will publish the same filings on the distribution website of the Israel Securities Authority (Magna).
