Re: Immediate report regarding the signing of an exclusive distribution agreement in India for business and institutional customers with Wipro Enterprises (P) Limited

The Company is honored to inform you that on November 29, 2022, the Indian subsidiary – Auraair Private Limited entered into an exclusive distribution agreement (the "Agreement") with Wipro Enterprises (P) Limited (the "Distributor") under which it was agreed that the Distributor will exclusively market and sell the company's products to business and institutional customers in India (the "Territory"). It will be clarified that the aforementioned exclusivity is in relation to business and institutional customers only.

As part of the Agreement: (a) The contract period is for 3 years and includes the option to extend it for a period of another year upon the agreement of the parties; (b) The Distributor is given the right to purchase the Company's products at a fixed price and sell it in the Territory at the price it deems correct; (c) The Company undertakes, within the framework of the Agreement, to deliver its products on the date and shipping conditions chosen by the Distributor; (d) The Company remains responsible towards the end customers in relation to the warranty for the Company's products, for a period of 12 months; (e) The Agreement includes a detailed marketing plan in which the Distributor had undertaken to perform the agreed marketing activities in the Territory; and (f) the Company's products will be marketed and sold under the joint branding of the Company and the Distributor.

The Distributor is an Indian company operating in the fields of smart lighting, solutions for modern workspaces, retail, engineering, and automation solutions. The Distributor owns an independent brand and operates in India, Southeast Asia, and the Middle East.
