פרטנר מודיעה על מחיקה מהנאסד"ק בארה"ב וריכוז המסחר במניותיה בבורסה לניירות ערך בתל אבי ב

ראש העין, ישראל, 26 בינואר 2023 - חברת פרטנר תקשורת בע" מ (להלן "פרטנר" או "החברה") (NASDAQ ו -TASE: PTNR(, מפעילת תקשורת מובילה בישראל, מודיעה כי בכוונתה למחוק מרצון את ה - Shares Depository American") ADSs ("שלה מה-Market Select Global NASDAQ בארה"ב ("נאסד"ק") ולרכז את המסחר במניותיה בבורסה אחת, הבורסה לניירות ערך בתל אביב ("הבורסה בתל אביב"). עם כניסתה לתוקף של המחיקה ממסחר בנאסד"ק, בכוונת החברה לבטל את הרישום ולסיים את חובות הדיווח שלה לרשות ניירות ערך האמריקאית ( Commission Exchange and Securities State United") (SEC (" בהתאם ל- 1934 of Act Exchange Securities, כפי שתוקן ("חוק ניירות הערך האמריקאי"). החברה תשמור על הרישום הנוכחי של מניותיה בבורסה בתל אביב, אשר יהפוך לרישום הבורסאי הרשמי היחיד שלה.

עם הרישום היחיד בתל אביב, החברה תהיה כפופה לכללי הרישום למסחר בבורסה בתל אביב ולחוק ניירות ערך, התשכ"ח – ,1968 לתקנות שמכוחו, לדרישות הדיווח של רשות ניירות ערך בישראל ולסטנדרטים הגבוהים של ממשל תאגידי הנהוגים בישראל. האסטרטגיה של החברה, פעילותה ויכולתה להצמיח את עסקיה לא ישתנו כתוצאה מכך שהחברה תרכז את המסחר במניותיה בבורסה אחת.

החברה צופה כי תגיש ל-SEC טופס 25 הנוגע למחיקת ה-ADSs שלה מהמסחר נאסד"ק ביום 6 בפברואר 2023 או בסמוך לכך. כתוצאה מכך, החברה צופה כי יום המסחר האחרון של ה- ADSs שלה בנאסד"ק יהיה לא לפני יום 15 בפברואר .2023 השינוי לרישום יחיד בבורסה נועד להתבצע עם מחיקתה מהמסחר בנאסד"ק, לא לפני יום 16 בפברואר .2023

בנוסף, בכוונת החברה לסיים את רישום ה-ADSs שלה, ואת חובות הדיווח שלה לפי חוק ניירות הערך האמריקאי. לשם כך, בכוונת החברה להגיש ל-SEC טופס F15 ביום 16 בפברואר 2023 או בסמוך לו. עם הגש ת טופס זה, חובות הדיווח של החברה ל- SEC יושעו באופן מיידי. סיום חובות הרישום והדיווח של החברה צפוי להיכנס לתוקף לא יאוחר מ90- יום לאחר ההגשה כאמור אם לא יהיו התנגדויות מצד ה-SEC. בשלב זה, לא נדרשת כל פעולה על ידי מחזיקי ה-ADSs של החברה בארה"ב, וזאת עד למועד שבו החברה תשקול להפסיק את תוכנית הפיקדון האמריקאית (program ADR (שלה למחזיקי ה- ADSs, המתופעלת על ידי A.N ,Citibank בארה"ב. החברה צופה שבעקבות המחיקה מהמסחר בנאסד"ק, ה-ADSs שלה יהיו זמינים למסחר ב-market) OTC (Counter-The-Over .S.U.
