### ANUNCIO PREVIO DE LA OFERTA PÚBLICA VOLUNTARIA DE ADQUISICIÓN FORMULADA POR SIEMENS ENERGY GLOBAL GMBH & CO. KG SOBRE LA TOTALIDAD DE LAS ACCIONES REPRESENTATIVAS DEL CAPITAL SOCIAL DE SIEMENS GAMESA RENEWABLE ENERGY, S.A.

El presente anuncio previo se hace público en virtud de lo previsto en el Real Decreto 1066/2007, de 27 de julio, sobre el régimen de las ofertas públicas de adquisición de valores (el Real Decreto 1066/2007) y contiene las principales características de la oferta, que está sujeta a la preceptiva autorización de la Comisión Nacional del Mercado de Valores (CNMV).

Los términos y características detallados de la oferta estarán contenidos en el folleto explicativo (el Folleto Explicativo) que se publicará tras la obtención de la referida autorización.

De acuerdo con lo establecido en el artículo 30.6 del Real Decreto 1362/2007, de 19 de octubre, a partir de la fecha del presente anuncio previo, aquellos accionistas de Siemens Gamesa Renewable Energy, S.A. (SGRE) que adquieran valores que atribuyan derechos de voto deberán notificar a la CNMV dicha adquisición cuando la proporción de derechos de voto en su poder alcance o supere el 1%. Asimismo, los accionistas de SGRE que ya tuvieran el 3% de los derechos de voto notificarán cualquier operación que implique una variación posterior en dicho porcentaje.

#### 1. IDENTIFICACIÓN DEL OFERENTE

El oferente es Siemens Energy Global GmbH & Co. KG (antes Siemens Gas & Power GmbH & Co. KG) (SE KG), una sociedad constituida conforme a las leyes de Alemania, con domicilio social en Otto-Hahn-Ring 6, 81739 Múnich, Alemania, e inscrita en el registro mercantil (Handelsregister) del tribunal local (Amtsgericht) de Múnich con el número de registro HRA 111200. Las acciones de SE KG no cotizan en ningún mercado de valores.

Siemens Gas & Power Management GmbH (SE Management), el socio gerente (Komplementär) de SE KG, es una sociedad constituida con arreglo a las leyes de Alemania, con domicilio social en Otto-Hahn-Ring 6, 81739 Múnich, Alemania, e inscrita en el registro mercantil (Handelsregister) del tribunal local (Amtsgericht) de Múnich con el número de registro HRB 241345. Las acciones de SE Management no cotizan en ningún mercado de valores.

SE KG es una sociedad íntegramente participada por Siemens Energy AG (SE y junto con sus filiales, el Grupo SE) una sociedad anónima alemana (Aktiengesellschaft) constituida bajo Derecho alemán. Está inscrita en el registro mercantil (Handelsregister) del tribunal local (Amtsgericht) de Múnich con el número de registro HRB 252581 y tiene su domicilio social en Otto-Hahn-Ring 6, 81739 Múnich, Alemania.

El capital social de SE asciende a 726.645.193 euros y está dividido en 726.645.193 acciones sin valor nominal (Stückaktien). Las acciones están registradas a nombre de sus titulares. El capital social está totalmente desembolsado. Las acciones han sido creadas de acuerdo con la legislación alemana. Las acciones de SE están admitidas a negociación en la Bolsa de Valores de Frankfurt (Frankfurter Wertpapierbörse).

SE ostenta indirectamente el 67.071% de los derechos de voto de SGRE. SE participa y controla íntegramente SE Management, socio gerente (Komplementär) y entidad gestora de SE KG. En su condición de socio gerente (Komplementär), SE Management representa a SE

KG y, por consiguiente, tiene la potestad de ejercitar los derechos de voto propiedad de SE KG. SE KG ostenta el 67,071% de los derechos de voto de SGRE.

La sociedad afectada de la oferta pública de adquisición, Siemens Gamesa Renewable Energy, S.A, una filial del Grupo SE.

Las manifestaciones de este anuncio previo realizadas por SE KG deben entenderse referidas también a su accionista de control SE.

#### 2. DECISIÓN DE FORMULAR LA OFERTA

La decisión de formular la oferta a la que se refiere este anuncio previo (la Oferta) ha sido aprobada el 21 de mayo de 2022 por (i) los gerentes (Geschäftsführer), el consejo de supervisión (Aufsichtsrat) y la junta general de accionistas (Gesellschafterversammlung) de SE Management, en su condición de socio gerente (Komplementär) de SE KG, y (ii) por la junta general de socios (Gesellschafterversammlung) de SE KG. Asimismo, la Oferta también ha sido aprobada por el comité ejecutivo (Vorstand) y el consejo de supervisión (Aufsichtsrat) de SE el 21 de mayo de 2022.

Al margen de los acuerdos anteriores, la Oferta no requiere de ninguna otra aprobación societaria de los accionistas o de los órganos de administración de ninguna otra sociedad del Grupo SE.

#### 3. PRESENTACIÓN DE LA OFERTA

SE KG presentará ante la CNMV la solicitud de autorización de la Oferta, junto con el Folleto Explicativo y los demás documentos que deben acompañarlo, en los términos previstos en el artículo 17 del Real Decreto 1066/2007, dentro del mes siguiente a la fecha de publicación del presente anuncio previo, esto es, hasta el 22 de junio de 2022 como máximo. SE KG estima que la presentación tendrá lugar dentro de la primera mitad del citado plazo.

#### 4. TIPO DE OFERTA

La Oferta es de tipo voluntario a los efectos de lo dispuesto en el artículo 137 de la Ley del Mercado de Valores y el artículo 13 del Real Decreto 1066/2007.

#### 5. PARTICIPACIÓN DE LA SOCIEDAD OFERENTE EN LA SOCIEDAD AFECTADA

SE KG es titular de 456.851.883 acciones de SGRE, representativas del 67,07 % de su capital social y del 67,18% de sus derechos de voto, excluyendo las acciones en autocartera. SGRE dispone de 320.602 acciones en autocartera, que representan el 0,05% de su capital social.

La participación indirecta de SE, a través de sus filiales SE KG y SGRE, en SGRE asciende en consecuencia a 457.172.485 acciones representativas del 67,12% del capital social.

No obstante, la Oferta se dirige a las acciones que SGRE mantiene en autocartera y que, por tanto, no serán inmovilizadas con motivo de la Oferta.

De acuerdo con lo dispuesto en el artículo 5 del Real Decreto 1066/2007, ninguna otra compañía perteneciente al Grupo SE, es titular, directa o indirectamente, de acciones de SGRE. Ningún miembro de los comités ejecutivo, de supervisión o gerentes de SE, SE

Management o SE KG posee acciones de SGRE. Como excepción a lo anterior, se señala que (i) D. Horst Hakelberg, miembro del consejo de supervisión (Aufsichtsrat) de SE, posee 2384,78 acciones de SGRE, todas ellas adquiridas durante los 12 meses anteriores a este anuncio previo, siendo el precio más alto pagado por dichas acciones 15,99 euros; y (ii) D. Dieter Kupferschmidt, miembro del consejo de supervisión (Aufsichtsrat) de SE Management, posee 200 acciones de SGRE, todas ellas adquiridas durante los 12 meses anteriores a este anuncio previo, siendo el precio más alto pagado por dichas acciones 16,10 euros. Asimismo, conforme al leal saber y entender de SE KG, ningún miembro de los órganos de administración de las filiales de SE KG posee acciones de SGRE.

Cuatro de los nueve miembros del consejo de administración de SGRE fueron nombrados por SE como consejeros dominicales. En concreto, D. Miguel Ángel López, D. André Clark, Dña. Mariel von Schumann y Dña. María Ferraro. Según la información pública disponible, ninguno de los anteriores consejeros dominicales ostenta acciones de SGRE. SE KG confirmará este extremo y las demás manifestaciones de este apartado, en cuanto se publique el anuncio previo.

Adicionalmente, bajo los criterios del artículo 6 del Real Decreto 1066/2007, SE debe atribuirse los derechos de voto de las 850 acciones de SGRE cuya titularidad es de D. Jochen Eickholt, actual consejero delegado de SGRE y antiguo miembro del equipo directivo de SE, y ningún derecho de voto de las acciones de ningún otro accionista. Por lo tanto, los derechos de voto resultantes en SGRE ascienden al 67,10%, excluyendo las acciones en autocartera.

En los 12 meses previos a la fecha del presente anuncio previo, ni SE KG ni ninguna de las entidades que conforman la estructura de propiedad y control de SE KG y sus filiales incluyendo a SGRE y sus filiales, ni ninguna persona que pudiera considerarse que actúa de forma concertada con cualquiera de las mismas a los efectos del Real Decreto 1066/2007, ni, conforme al leal saber y entender de SE KG, los miembros de los órganos de administración de las respectivas entidades del grupo, han llevado a cabo, ni han acordado llevar a cabo, directa o indirectamente, ninguna operación con acciones de SGRE. Sin perjuicio de lo anterior, debe señalarse que, de acuerdo con los informes financieros intermedios hasta el segundo trimestre cerrado a 31 de marzo de 2022, (i) durante el primer trimestre de 2022, SGRE ha entregado 755.383 acciones propias a un coste medio de 14,72 euros por acción como consecuencia de la liquidación del segundo ciclo del Plan de Incentivos a Largo Plazo 2018-2020, y (ii) durante el segundo trimestre de 2021, SGRE entregó 549.884 acciones propias a un coste medio de 14,72 euros por acción como consecuencia de la liquidación del primer ciclo del Plan de Incentivos a Largo Plazo 2018-2020.

#### 6. INFORMACIÓN SOBRE LA SOCIEDAD AFECTADA

La sociedad afectada es SGRE, sociedad anónima de nacionalidad española, con domicilio social en el Parque Tecnológico de Bizkaia, Edificio 222, Zamudio, Vizcaya (España), con número de identificación fiscal A-01011253. SGRE fue constituida el 28 de enero de 1976 por tiempo indefinido y se encuentra inscrita en el Registro Mercantil de Vizcaya al tomo 5147, folio 7, hoja BI-56858.

El capital social de SGRE es de 115.794.374,94 euros, representado por 681.143.382 acciones ordinarias, de 0,17 euros de valor nominal cada una de ellas, pertenecientes a una misma y única clase y serie, con idénticos derechos políticos y económicos, totalmente suscritas y desembolsadas y representadas mediante anotaciones en cuenta cuya llevanza corresponde a la Sociedad de Gestión de los Sistemas de Registro, Compensación y

Liquidación de Valores, S.A. (Iberclear), con domicilio en Madrid, Plaza de la Lealtad número 1, y sus entidades participantes autorizadas. Las acciones de SGRE están admitidas a negociación en las Bolsas de Valores de Madrid, Barcelona, Bilbao y Valencia, a través del SIBE y forma parte del índice Ibex 35.

SGRE no ha emitido derechos de suscripción preferente u obligaciones convertibles en acciones, warrants u otros instrumentos similares que pudieran, directa o indirectamente, conferir a su titular el derecho a suscribir o adquirir acciones de SGRE. SGRE tampoco ha emitido acciones sin derecho de voto, ni clases especiales de acciones.

#### 7. VALORES Y MERCADOS A LOS QUE SE DIRIGE LA OFERTA

La Oferta es de tipo voluntario y se dirige a todas las acciones de SGRE, salvo las 456.851.883 acciones titularidad de SE KG, representativas de un 67,07% del capital social de SGRE, y se realiza conforme a la Ley del Mercado de Valores, el Real Decreto 1066/2007 y demás legislación aplicable. Por lo tanto, la Oferta se dirige de manera efectiva a 224.291.499 acciones de SGRE, representativas del 32,93% de su capital social, que, sumadas a las ostentadas por SE KG, que han sido objeto de inmovilización, representan el 100% del capital social de SGRE.

La Oferta se formula exclusivamente en el mercado español, único mercado en el que cotizan las acciones de SGRE y se dirige a todos los accionistas de SGRE, con independencia de su nacionalidad o lugar de residencia. Este anuncio previo y su contenido no suponen la formulación o difusión de la Oferta en cualesquiera jurisdicciones o territorios distintos de España. En consecuencia, ni este anuncio previo ni el folleto que se publicará tras la autorización de la oferta por la CNMV, serán publicados, distribuidos o entregados en ninguna jurisdicción o territorio donde su publicación pueda estar prohibida o restringida por ley o donde se requiera el registro o depósito de documentación adicional. Las personas que reciban este anuncio previo o el folleto no podrán publicarlos, distribuirlos o entregarlos en dichas jurisdicciones o territorios.

### 8. CONTRAPRESTACIÓN

La contraprestación de la Oferta es de 18,05 euros por acción.

La contraprestación ha sido fijada libremente por SE KG de conformidad con lo previsto en el artículo 13.5 del Real Decreto 1066/2007.

No obstante, en opinión de SE KG la contraprestación ofrecida tiene la consideración de precio equitativo tal y como este término se define en el artículo 9 y dicho precio no es inferior al calculado conforme a las reglas de valoración contenidas en el artículo 10 del Real Decreto 1066/2007.

A estos efectos, SE KG ha designado a PricewaterhouseCoopers Asesores de negocio, S.L. como experto independiente para que, elabore un informe de valoración que justifique el precio de la Oferta según lo previsto en los apartados 5 y 6 del artículo 10 del Real Decreto 1066/2007 y, en consecuencia, confirme que la contraprestación ofrecida por SE KG en la Oferta reúne los requisitos para ser considerada precio equitativo.

Sin perjuicio de que los datos sobre primas referidas a precios de cotización que se ofrecen a continuación pueden cambiar a partir de la fecha del presente anuncio en función de los precios de cotización y que estos datos no determinan que el precio pueda considerarse

equitativo en los términos de los artículos 130 de la Ley del Mercado de Valores y 9 del Real Decreto 1066/2007, SE KG indica que conforme a los términos de la Oferta la contraprestación ofrecida representa una prima del 27,7% sobre el último precio no afectado<sup>1</sup> de SGRE de 14,13 euros a cierre de 17 de mayo de 2022. El precio de la Oferta supera la cotización media ponderada por volumen de las acciones de SGRE durante el semestre anterior a la fecha de este anuncio previo a la que se refiere el apartado 10.5.c) del Real Decreto 1066/2007 que, según los cálculos realizados por el oferente con base en la práctica de mercado y la información disponible, es 18,01 euros.

#### 9. CONDICIONES DE LA OFERTA

La efectividad de la oferta no está sujeta a ninguna condición.

### 10. DEFENSA DE LA COMPETENCIA Y AUTORIZACIONES DE OTROS ORGANISMOS SUPERVISORES

#### 10.1 Autorizaciones en materia de Derecho de la Competencia

La Oferta no constituye una concentración económica y, en consecuencia, no está sujeta a notificación a la Comisión Nacional de los Mercados y la Competencia (CNMC) ni a la Comisión Europea en virtud de lo dispuesto en la Ley 15/2007, de 3 de julio, de Defensa de la Competencia, y en el Reglamento (CE) 139/2004 del Consejo, de 20 de enero de 2004, sobre el control de las concentraciones entre empresas, respectivamente, o en otras jurisdicciones.

#### 10.2 Otras autorizaciones administrativas

SE KG declara que, tras realizar las comprobaciones oportunas, no tiene obligación de notificar a ninguna autoridad española o extranjera distinta de la CNMV, ni de obtener autorización adicional de ninguna autoridad española o extranjera distinta de la CNMV.

#### 11. ACUERDOS RELATIVOS A LA OFERTA

El 18 de abril de 2022, SE y SGRE suscribieron un acuerdo de confidencialidad. Aparte de lo anterior, no existe ningún acuerdo de ninguna naturaleza en relación con la Oferta o con SGRE entre, por un lado, SE KG o cualquier otra entidad del Grupo SE, y por otro lado, los accionistas de SGRE y los miembros de los órganos de administración, dirección y control de SGRE. Asimismo, no se ha reservado ninguna ventaja a los accionistas de SGRE ni a los miembros de los órganos de administración, dirección y control de SGRE.

#### 12. INICIATIVAS EN MATERIA BURSÁTIL

SE KG tiene la intención de promover la exclusión de negociación de las acciones de SGRE en las Bolsas de Valores de Madrid, Barcelona, Bilbao y Valencia mediante el ejercicio del derecho de venta forzosa de los artículos 136 de la Ley del Mercado de Valores y 47 del Real Decreto 1066/2007.

Si los umbrales establecidos en dichos artículos no se alcanzan y, por ende, no es posible el ejercicio del derecho de venta forzosa, pero SE KG alcanza en la fecha de liquidación de la Oferta, una participación mínima del 75% del capital con derecho a voto de SGRE, la exclusión de negociación será promovida por SE KG mediante el procedimiento de excepción de oferta de exclusión previsto en el artículo 11.d) del Real Decreto 1066/2007.

En este segundo caso, de conformidad con el artículo 11.d) del Real Decreto 1066/2007, SE KG, a través de SGRE, promoverá la celebración de una Junta General de accionistas de SGRE a los efectos de acordar la exclusión de negociación de sus acciones mediante dicho procedimiento y facilitará la venta de las acciones de SGRE mediante una orden sostenida de compra sobre las restantes acciones en circulación por un plazo mínimo de un mes.

La exclusión de negociación de las acciones de SGRE tendrá lugar cuanto antes tras la aprobación de la exclusión de negociación por la Junta General de accionistas de SGRE, la autorización de la CNMV y, en todo caso, dentro de plazo máximo de seis meses siguientes a la liquidación de la Oferta. El precio de dicha orden de compra será igual al precio de la Oferta.

Si SE no alcanza el 75% del capital con derecho a voto de SGRE en la fecha de liquidación de la Oferta y/o la CNMV considera en la autorización de la Oferta que la contraprestación ofrecida no está justificada conforme a los apartados 5 y 6 del artículo 10 del Real Decreto 1066/2007, y SE mantiene su intención de promover la exclusión de negociación de las acciones de SGRE en las Bolsas de Valores de Madrid, Barcelona, Bilbao y Valencia, será preciso una oferta de exclusión en los términos del artículo 82 de la Ley del Mercado de Valores cuyo precio cumpla los apartados 5 y 6 del artículo 10 del Real Decreto 1066/2007.

#### 13. OTRAS INFORMACIONES

Se incluye información adicional mediante nota de prensa y presentación de la operación. A juicio de SE KG, no existe otra información que pueda resultar necesaria para una adecuada comprensión de la Oferta, distinta de la información incluida en este anuncio previo, la nota de prensa y la presentación de la operación adjuntas al mismo, sin perjuicio de que la información detallada sobre la Oferta estará contenida en el Folleto Explicativo que se publicará tras la obtención de la autorización de la Oferta por la CNMV.

**Munich/Zamudio, 21 May 2022:** Today, Siemens Energy AG ("Siemens Energy") announced a voluntary cash tender offer to acquire all outstanding shares in Siemens Gamesa Renewable Energy, S.A. ("SGRE"), i.e., approx. 32.9 percent of SGRE's share capital, which it does not already own. SGRE's minority shareholders will be offered € 18.05 per share in cash. Following a successful closing of the transaction, Siemens Energy intends to pursue a delisting of SGRE from the Spanish stock exchanges, where it currently trades as a member of the IBEX 35 index.

With wind being a key driver of the global energy transition, SGRE's product and service offering forms an essential part of Siemens Energy's long-term strategy. The funding of the acquisition is fully underwritten by Bank of America and J.P. Morgan. Siemens Energy is and remains committed to a solid investment grade credit rating. Assuming a full acceptance of the offer, Siemens Energy intends to finance up to € 2.5 billion of the transaction value with equity or equity like instruments.
